Important Notice

THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, THESE TERMS REQUIRE YOU TO ARBITRATE DISPUTES WITH US RATHER THAN THROUGH A JUDGE OR JURY TRIAL OR CLASS ACTION OF ANY KIND. BY USING THIS PLATFORM, YOU WAIVE ALL RIGHTS TO INITIATE OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT. PLEASE READ CAREFULLY.

1. Acceptance of Terms

These JobBidders Terms of Service (the “Terms of Service” or the “Terms”) constitute a legally binding agreement between User ("User," "you," or "your") and JobBidders LLC ('JobBidders,' 'we,' 'us,' 'our,' or the 'Platform') governing your access to and use of the Platform, including all websites, mobile applications, software, and services provided by or through us. These Terms, together with our Privacy Policy and any other policies incorporated by reference, govern the entirety of your relationship with us.

BY ACCESSING OR USING THE PLATFORM IN ANY WAY, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS WITHOUT LIMITATION OR QUALIFICATION. YOUR ACCEPTANCE OF THESE TERMS IS EQUIVALENT TO A WRITTEN, NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE PLATFORM.

If you use the Platform on behalf of an entity or another individual, you represent and warrant that you have authority to bind that entity or individual, and your acceptance of these Terms will be deemed an acceptance by that entity. All references to "you" include your heirs, assigns, and successors.

2. The Platform Marketplace Only

The Platform is an online web- and app-based two-sided marketplace that enables connections between customers seeking services ("Customers") and independent service providers ("Contractors" or "Pros"). Customers and Contractors are collectively referred to as "Users."

CONTRACTORS ARE INDEPENDENT CONTRACTORS, NOT EMPLOYEES.

Contractors are independent business owners who provide services under their own name or business name, not under the Platform's name. Contractors set their own rates, choose their own tools and supplies, maintain their own clientele, offer their services on competing platforms, and accept or reject Customers and service agreements at their own discretion. The Platform does not control the manner, means, or methods by which Contractors perform services.

Contractors are independent contractors of Customers not of the Platform. Any agreement for services is solely between the Customer and the Contractor. The Platform is not a party to any service agreement between a Customer and a Contractor. Contractors are solely responsible for the accuracy, completeness, and truthfulness of all bids, estimates, pricing, timelines, warranties, qualifications, and other representations submitted through the Platform.

JobBidders does not review, verify, or guarantee the accuracy of such information.

No Guarantee of User Identity. While JobBidders may offer optional verification services and may suspend or remove accounts that violate these Terms, JobBidders does not guarantee that every User is who they claim to be or that any information provided by a User is accurate, complete, current, or authentic. Users acknowledge that online marketplaces may contain individuals who misrepresent their identity, qualifications, credentials, or other information and agree to exercise their own independent judgment and due diligence before communicating with, hiring, or otherwise engaging any User through the Platform.

No Guarantee of Jobs, Bids, or Results. JobBidders makes no guarantee that Customers will receive bids or responses to posted projects, that Contractors will obtain projects or business opportunities, that bids will be competitive or accepted, that any project will be completed, that any User will generate income, savings, or other financial benefit, or that use of the Platform will result in any particular outcome or level of success.

Any reference to a Contractor being licensed or credentialed in some manner, or being “reliable”, “reliability rate”, “elite”, “great value”, "verified", "background checked," "licensed," "insured," or having any badge or credential indicates only that the Contractor has completed a relevant user account registration process or met certain criteria and does not, and shall not be deemed to, represent anything else. Any such description: (i) is intended to be useful information for Clients to evaluate when they make their own decisions about the identity and suitability of Contractor whom they select or interact, or contract with via the Platform; and (ii) is not an endorsement, certification, guarantee, or warranty by the Platform of such Contractor's skills, qualifications, trustworthiness, safety, or suitability. The Customer is solely responsible for selecting, vetting, and approving any Contractor they engage.

3. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding agreement; (c) you are not prohibited from using the Platform under applicable law; and (d) all information you provide is accurate and complete. We reserve the right to refuse or suspend access to the Platform, terminate accounts, or cancel services at our sole discretion subject to applicable law and these Terms.

4. Account Registration and Security

You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated
  • Maintain the confidentiality of your account credentials and not share them with any third party
  • Be solely responsible for all activity that occurs under your account
  • Notify us immediately of any unauthorized access or breach of security
  • Not create multiple accounts or use another person's account without authorization
  • Not allow anyone else to use your account on your behalf except as expressly authorized

We reserve the right to verify your identity at any time and to use third-party background check or identity verification vendors for that purpose. By using the Platform, you authorize us to obtain background checks, business credit checks, and identity verifications from our vendors throughout your use of the service, to the extent permitted by applicable law. Where the Fair Credit Reporting Act ("FCRA") or other applicable laws require separate disclosures and/or your written authorization before obtaining a consumer report or investigative consumer report, we will provide such disclosures and obtain such authorization before procuring those reports.

5. Use of the Platform — Prohibited Conduct

You agree NOT to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Post false, misleading, defamatory, harassing, threatening, abusive, obscene, or fraudulent content
  • Circumvent the Platform to arrange off-platform payments or transactions to avoid fees
  • Solicit or accept payment outside the Platform's designated payment channels
  • Use bots, scrapers, automated tools, or other unauthorized means to access the Platform
  • Reverse engineer, decompile, disassemble, or attempt to derive source code of the Platform
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Collect or harvest user data without consent or in violation of applicable law.
  • Interfere with or disrupt the integrity or performance of the Platform
  • Upload or transmit viruses, malware, or any other harmful code
  • Discriminate against users on the basis of race, color, religion, gender, national origin, disability, sexual orientation, or any other protected class where prohibited by applicable law.
  • Engage in any conduct that could damage, disable, overburden, or impair the Platform
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission

We reserve the right but have no obligation to monitor, review, restrict, suspend, or remove any content or activity on the Platform to the extent permitted by applicable law and these Terms. Violations may result in suspension or immediate account termination without notice or refund, where permitted by applicable law.

6. User Generated Content and License

"User Content" means all content submitted, posted, uploaded, published, or transmitted on or through the Platform by any user, including photographs, videos, profile information, job descriptions, bids, reviews, messages, and all other materials.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty free, fully paid, sublicensable, transferable license to use, copy, modify, create derivative works from, distribute, publicly display, and otherwise exploit such content in connection with the Platform, our services, and our business operations, including to host, store, reproduce, adapt, translate, publish, transmit, promote, market, and improve the Platform and our services, in any media or distribution methods now known or later developed. You represent and warrant that you own or have all necessary rights to the content you submit, and that your content does not violate any third-party rights, applicable law, or the intellectual property, privacy, publicity, confidentiality, or other proprietary rights of any person or entity.

Photographs and Other Uploaded Content. By uploading photographs, videos, documents, or other content to the Platform, Users represent and warrant that they own, control, or have obtained all necessary rights, permissions, licenses, and consents to upload such content and to grant JobBidders the rights and licenses described in these Terms. Users are solely responsible for ensuring that uploaded content does not violate the intellectual property, privacy, publicity, or other legal rights of any third party.

Artificial Intelligence, Content Processing, and Platform Improvement. You acknowledge and agree that JobBidders may process, analyze, reproduce, modify, adapt, display, transmit, create derivative works from, and otherwise use your User Content, including content generated, enhanced, or processed through the Platform's artificial intelligence ("AI") features, solely as necessary to operate, provide, maintain, secure, moderate, improve, and develop the Platform and its services. Such use may include content moderation, fraud detection and prevention, abuse prevention, security, quality assurance, search functionality, recommendation systems, analytics, testing, product development, and improving the Platform's internal algorithms, AI-powered features, and recommendation models. JobBidders may also create, compile, and use aggregated, anonymized, or de-identified datasets derived from User Content for research, analytics, service improvement, and development purposes, provided that such datasets do not identify you except as otherwise permitted by our Privacy Policy or applicable law.

Public Reviews and Promotional Content. If you voluntarily submit or publish reviews, ratings, testimonials, or photographs of completed projects through the Platform, you grant JobBidders a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, display, distribute, publish, and otherwise use such publicly available content for promotional, advertising, marketing, educational, and business purposes in connection with the Platform, subject to applicable law. Except for the licenses expressly granted in these Terms, you retain ownership of your User Content.

You retain ownership of your User Content, subject to the license granted above. The license granted under this Section shall survive termination of your account to the extent necessary to operate the Platform, comply with applicable law, resolve disputes, enforce these Terms, and maintain archival or backup copies.

We do not endorse, verify, or assume responsibility for any User Content. You acknowledge that we have no obligation to pre-screen User Content but reserve the right to remove content, refuse to publish, disable access to, or restrict any content at our sole discretion if we reasonably believe such content violates these Terms, applicable law, infringes the rights of any third party, or may expose us, our users, or third parties to liability.

You acknowledge that User Content may be viewed, copied, shared, or otherwise used by other users of the Platform in accordance with the functionality of the Platform, and we are not responsible for the actions of other users with respect to your User Content.

7. Fees, Billing, and Payments

We reserve the right to charge fees for use of the Platform and to change our fee structure at any time upon providing notice where required by applicable law. All fees are non-refundable unless expressly stated otherwise or required by applicable law. We are not responsible for any errors by payment processors. You are responsible for all taxes, duties, and fees associated with transactions conducted on or through the Platform, except taxes imposed on our income.

You authorize us and our third-party payment processors to charge your designated payment method for all applicable fees, taxes, chargebacks, reversals, and other amounts owed in connection with your use of the Platform.

You authorize JobBidders and its third-party payment processors to securely store your payment method and to charge your selected payment method for all applicable subscription fees, one-time purchases, service fees, advertising fees, premium features, administrative charges, taxes, and any other amounts you authorize through the Platform. All payment processing services are provided by independent third-party payment providers, and JobBidders is not responsible for any errors, delays, security incidents, or failures attributable to such providers.

Certain features of the Platform may be offered free of charge, while other features require payment of applicable fees. JobBidders reserves the right to introduce, modify, remove, or charge fees for any feature or service at any time. Where required by applicable law, we will provide reasonable notice of material pricing changes before such changes become effective.

One-time purchases, including but not limited to premium listings, featured placements, advertising credits, promotional services, verification services, or other individually purchased features, are processed at the time of purchase and are final except where refunds are required by applicable law or expressly stated in our refund policy.

Failure to timely pay any applicable fees may result in suspension, limitation, or termination of your access to paid features or your account. JobBidders reserves the right to use collection agencies or pursue any other lawful means to recover unpaid amounts, together with any collection costs, interest, attorneys' fees, or other amounts permitted by applicable law.

Prices may vary based on your geographic location, currency, subscription plan, promotional offers, taxes, or other factors. You acknowledge that your financial institution or payment provider may charge foreign exchange fees, currency conversion fees, banking fees, or similar charges, for which JobBidders is not responsible.

All applicable taxes, including sales tax, value added tax (VAT), goods and services tax (GST), withholding tax, or similar governmental charges, shall be calculated based on the billing information you provide and are your responsibility unless otherwise required by applicable law.

Automatic Renewal Disclosure: If you purchase a subscription (e.g., a Pro plan), the following terms apply in addition to the general billing terms above, in order to comply with state automatic renewal and negative option laws:

  • Before you complete a subscription purchase, we will clearly and conspicuously disclose the subscription price, the length of the initial term, that the subscription will automatically renew, the renewal price (if different), and the length of each renewal term.
  • By completing a subscription purchase, you provide affirmative consent to these automatic renewal terms; your consent is not obtained through a pre-checked box or default selection.
  • You may cancel your subscription at any time through your account settings in the Platform, using a method at least as simple as the method you used to subscribe, at no additional cost.
  • If your subscription includes a free trial or promotional pricing period, we will notify you before the trial or promotional period ends and before you are charged the regular subscription price, as required by applicable law.
  • For subscription terms of one year or longer that renew automatically, we will provide a renewal reminder notice within the timeframe required by applicable state law before the renewal date.
  • This Automatic Renewal Disclosure supplements, and does not limit, the general subscription billing terms described in this Section.

Off Platform Transactions: Any transaction conducted outside the Platform's designated payment channels is done entirely at your own risk. The Platform assumes no liability for any off-platform payments, disputes, losses, or fraud arising from such transactions. Users who circumvent the Platform's payment process to avoid fees may have their accounts terminated immediately.

Subscription fees (e.g., Pro plan) are billed on a recurring basis and will continue until cancelled. You authorize us to charge your payment method for all applicable fees.

Cancellations take effect at the end of the then-current billing period with no prorated refunds, except where required by applicable law.

If your payment method is declined, expires, or cannot be successfully charged, we may suspend or terminate your access to the Platform or applicable services until all outstanding amounts are paid.

You are responsible for maintaining current and accurate payment information.

8. Contractor Representations and Warranties

By using the Platform as a Contractor, you represent and warrant that:

  • You have all licenses, permits, certifications, and insurance required by applicable law to perform the services you offer and that such licenses, permits, certifications, and insurance will remain valid throughout your use of the Platform.
  • You will perform all services in a professional, workmanlike manner consistent with industry standards
  • All information in your profile, including skills, credentials, and work history, is accurate and not misleading and will be kept current and up to date.
  • You are legally authorized to work in the jurisdiction where you provide services
  • You will comply with all applicable laws, regulations, and safety standards
  • You are solely responsible for determining and paying all applicable taxes on your earnings
  • You carry adequate insurance coverage for the services you provide and will provide proof of such insurance upon request where permitted by applicable law
  • You will not engage in any illegal, unsafe, or unethical conduct in connection with services booked through the Platform
  • You will promptly notify the Platform of any suspension, expiration, revocation, investigation, or other material change affecting your licenses, permits, certifications, insurance, or legal authority to provide services.
  • You acknowledge that the Platform may, but is not obligated to, verify your licenses, certifications, insurance, identity, background, or other qualifications, and that you remain solely responsible for maintaining all required qualifications regardless of whether any verification is performed by the Platform.

9. Customer Responsibilities

By using the Platform as a Customer, you agree that:

  • You are solely responsible for evaluating and selecting Contractors.
  • You will provide accurate information about the scope of work needed and promptly update any material changes to the job requirements.
  • You will pay for services as agreed upon with the Contractor using any payment method authorized by the Platform or otherwise agreed upon between you and the Contractor.

If JobBidders introduces payment processing functionality in the future, your use of those services will also be subject to any applicable payment terms and policies.

  • You will provide a safe working environment for Contractors and comply with all applicable health, safety, and legal requirements.
  • You will not engage in harassment, discrimination, or abusive behaviour toward Contractors.
  • Any directions or instructions you give to a Contractor do not create an employment relationship between you and that Contractor or between the Contractor and the Platform.
  • You are solely responsible for obtaining any approvals, permissions, or consents required for the Contractor to perform the requested services at the applicable location.
  • You will not request, encourage, or require a Contractor to perform any unlawful, unsafe, or unethical act or any service that violates applicable law or these Terms.

10. Background Checks and Verifications

We may offer optional background checks or identity verifications for Contractors through third party providers. Background checks are conducted by independent third party service providers and the Platform makes no warranty regarding their accuracy, completeness, or timeliness. A background check result does not constitute an endorsement or guarantee of any Contractor or any representation that the Contractor is qualified, trustworthy, suitable, or fit to perform any particular services.

Background check information is governed by the privacy policies of the applicable third party providers and applicable law, including, where applicable, the Fair Credit Reporting Act ("FCRA") and other applicable laws. We disclaim any and all liability arising from any reliance on background check results. Customers use such information entirely at their own discretion and risk.

We are under no obligation to conduct background checks, identity verifications, or ongoing monitoring of any user, and may discontinue or modify such services at any time without notice.

Users are solely responsible for exercising their own judgment and conducting any additional due diligence they deem appropriate before engaging in any transaction or entering into any relationship through the Platform.

Contractors may upload licenses, insurance certificates, background checks, certifications, and other credentials to their profiles. Unless specifically designated as "JobBidders Verified," JobBidders does not verify, authenticate, or guarantee the accuracy, validity, or current status of any uploaded credential. Users are solely responsible for independently reviewing such credentials before hiring a Contractor. A "JobBidders Verified" designation indicates only that the specified credential was verified by an independent third-party provider at the time of verification and does not constitute a guarantee or endorsement by JobBidders.

11. Reviews and Ratings

The Platform may allow Users to post reviews and ratings of one another. Reviews represent the opinion of the reviewer only and do not represent the views of the Platform. We do not verify the accuracy, completeness, or reliability of reviews or ratings. We reserve the right to remove, edit, refuse to publish, or disable access to reviews that violate our policies or these Terms, applicable law, or the rights of any third party, but have no obligation to do so. You agree not to submit false, misleading, fraudulent, or defamatory reviews or reviews submitted in exchange for compensation or other improper consideration unless expressly permitted by the Platform and disclosed as required by applicable law. We expressly disclaim all liability arising from any reviews posted on the Platform.

You acknowledge that reviews and ratings may affect a user’s reputation and visibility on the Platform and that the Platform is not responsible for the content of any review or rating submitted by another User.

The Platform reserves the right, but has no obligation, to investigate suspected fake, manipulated, misleading, fraudulent, incentivized, or otherwise non-compliant reviews or ratings and may request additional information from the reviewing User where appropriate.

Reviews provided in exchange for compensation, discounts, free services, or any other incentive must comply with applicable law, including the Federal Trade Commission's Endorsement Guides, and any required disclosures must be clearly and conspicuously made.

While Users retain ownership of the text of their reviews and other User Content, JobBidders LLC retains all rights to determine the presentation, formatting, organization, ranking, aggregation, display, and visibility of reviews and ratings on the Platform and may remove, reorder, suppress, or otherwise moderate reviews in its sole discretion as permitted by applicable law and these Terms.

Review Moderation. JobBidders reserves the right, but assumes no obligation, to review, remove, edit, restrict, or refuse to publish any review, rating, comment, or other feedback that it reasonably determines to be false, misleading, fraudulent, defamatory, retaliatory, abusive, spam, generated through a conflict of interest, intended to manipulate ratings or rankings, or otherwise in violation of these Terms or applicable law.

12. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • Any implied warranties of merchantability, fitness for a particular purpose, title, or non infringement
  • Any warranty that the Platform will be uninterrupted, error free, secure, or free of viruses or other harmful components, or that any defects will be corrected.
  • Any warranty regarding the quality, safety, suitability, reliability, or legality of any services offered by Contractors
  • Any warranty regarding the accuracy or completeness of any content, including user profiles, reviews, background checks, or credentials
  • Any warranty that the Platform will meet your requirements or expectations or achieve any intended results.
  • Any warranty regarding the availability, compatibility, or performance of the Platform on any particular device, browser, operating system, or network.
  • Any warranty regarding any third party products, services, websites, applications, payment processors, or content accessible through or integrated with the Platform.

We may modify, suspend, or discontinue, restrict, the Platform or any feature, service, or content therein at any time, temporarily or permanently, with or without notice.

You are solely responsible for maintaining backup copies of any content or data you post to the Platform. We have no obligation to store, back up, or restore or make available any User Content.

We do not guarantee that the Platform will operate continuously, without interruption, securely, or error free. Scheduled maintenance, system upgrades, emergency maintenance, internet outages, third party failures, and events beyond our reasonable control may temporarily affect availability.

THE PLATFORM MAKES NO WARRANTIES REGARDING THE CONDUCT, IDENTITY, CREDENTIALS, BACKGROUND, OR QUALITY OF WORK OF ANY USER.

USE OF THE PLATFORM AND ENGAGEMENT OF ANY CONTRACTOR IS ENTIRELY AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE SUITABILITY OF ANY USER, CONTRACTOR, OR SERVICE BEFORE ENTERING INTO ANY TRANSACTION OR ENGAGEMENT.

WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY MODIFICATION, SUSPENSION, DISCONTINUATION, RESTRICTION, OR UNAVAILABILITY OF THE PLATFORM OR ANY PART THEREOF, INCLUDING ANY LOSS OF POSTED DATA, BIDS, JOB LISTINGS, MESSAGES, OR OTHER CONTENT.

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PLATFORM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Personal injury, property damage, or death arising from services performed by any Contractor
  • Any damages arising from your reliance on any information obtained through the Platform
  • Any unauthorized access to or alteration of your account or data
  • Any conduct or content of any third party on the Platform
  • Any damages arising from off platform transactions or communications
  • Any interruption, suspension, unavailability, delay, or failure of the Platform or any third party services, including payment processors or communication services.
  • Any loss, damage, or liability arising from the acts or omissions of any Customer, Contractor, or other third party, whether or not introduced or verified through the Platform.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO THE PLATFORM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF CLAIMS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

The indemnification obligations of Customers and Contractors are set forth below in this Section. JobBidders reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You agree to cooperate fully in the defense of any such matter and shall not settle any claim or matter subject to indemnification without JobBidders' prior written consent.

A. Customer Indemnification

If you are a Customer, you agree to indemnify, defend, and hold harmless JobBidders, its affiliates, owners, officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the "JobBidders Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

  • your use of, inability to use, or participation on the Platform;
  • your breach of these Terms or any other agreement with JobBidders;
  • your violation of any applicable law, regulation, or the rights of any User or third party;
  • your use of any third party websites, links, products, or services accessed through the Platform;
  • any User Content, reviews, ratings, messages, photographs, or other content submitted by you or through your account, including any claim that such content infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party or otherwise violates applicable law; and
  • your acts or omissions, or the acts or omissions of any person acting on your behalf, in connection with the Platform or any services arranged through the Platform.

B. Contractor Indemnification

If you are a Contractor, you agree to indemnify, defend, and hold harmless the JobBidders Parties from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

  • your use of, inability to use, or participation on the Platform;
  • your offering, performance, failure to perform, or inability to perform any services, or your receipt or non receipt of payment for such services;
  • your breach of these Terms or any other agreement with JobBidders;
  • your violation of any applicable law, regulation, or the rights of any User or third party;
  • any User Content, reviews, ratings, messages, photographs, or other content submitted by you or through your account, including any claim that such content infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party or otherwise violates applicable law; and
  • your acts or omissions, or the acts or omissions of your employees, subcontractors, assistants, agents, or representatives in connection with the services or the Platform.

15. BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Dispute Resolution: To expedite the resolution of any dispute, controversy, or claim relating to, arising out of, or in connection with your use of the Platform, your relationship with JobBidders, any services requested, offered, or performed through the Platform, or these Terms (including any prior versions) (collectively, a "Dispute"), you and JobBidders agree to first attempt to resolve the Dispute informally before initiating any mediation, arbitration, or court proceeding, except as otherwise expressly provided in these Terms.

Such informal negotiations shall commence upon written notice from one party to the other.

Notices to you will be sent to the email address or other contact information associated with your account. Notices to JobBidders must be sent to the contact information designated by JobBidders for legal notices. The parties agree to use good faith efforts to resolve the Dispute through informal negotiations before pursuing any formal legal proceeding.

Mandatory Arbitration: Except for claims that qualify for small claims court or claims expressly excluded below, you and the Platform agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or any services obtained through the Platform shall be resolved exclusively through binding individual arbitration, and not in a court of law. The arbitration shall be conducted by a recognized arbitration organization under its applicable rules and procedures. The arbitrator shall ha ve exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except as expressly provided herein.

CLASS ACTION WAIVER: YOU AND THE PLATFORM EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO INITIATE OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR REPRESENTATIVE ACTION.

IF ANY COURT OR ARBITRATOR DETERMINES THAT THE CLASS ACTION WAIVER IS UNENFORCEABLE FOR ANY REASON, THEN THE CLASS ACTION CLAIM MUST BE ADJUDICATED BY A COURT AND NOT BY AN ARBITRATOR.

Batch Arbitration: If twenty five (25) or more demands for arbitration raising similar claims are filed against the Platform by or with the assistance of the same or coordinated counsel, the AAA shall administer the demands in batches of up to one hundred (100) demands per batch, with a single arbitrator appointed for each batch and a single set of administrative and filing fees due per batch. The parties agree to cooperate in good faith to implement this batch procedure, which is intended to secure the fair and efficient resolution of similar claims.

Opt-Out: You may opt out of this arbitration agreement by providing written notice to us within 30 days of first accepting these Terms. You opt out notice must include your full name, mailing address, email address, telephone number (if associated with your account), and signature, and must be sent by email to ChadAndrews@jobbidders.app with the subject line "Arbitration Opt-Out". If you opt out, you will still be bound by all other provisions of these Terms.

Exceptions: Nothing in this arbitration provision prevents you from filing a complaint with a government agency or seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration. In addition, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary rights.

Severability: If any portion of this arbitration agreement, other than the Class Action Waiver, is found to be invalid or unenforceable, the remaining portions shall remain in full force and effect to the maximum extent permitted by applicable law.

16. Intellectual Property

The Platform and its original content, features, functionality, design, logos, trademarks, service marks, trade names, and software are owned by us and protected by copyright, trademark, patent, trade secret, database and other intellectual property laws. You are granted a limited, non exclusive, non transferable, revocable license to access and use the Platform solely for its intended purposes and in accordance with these Terms. You may not copy, modify, distribute, sell, license, sublicense, or lease any part of the Platform or its content without our express written permission. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices appearing on the Platform or its content. All rights not expressly granted are reserved.

Nothing in these Terms grants you any ownership or other rights in or to the Platform or our intellectual property except for the limited license expressly granted above.

Platform Intellectual Property and Proprietary Technology. Without limiting the foregoing, JobBidders LLC owns and retains all right, title, and interest in and to the Platform and all related technology, software, systems, and intellectual property, including, without limitation, all source code, object code, so ftware architecture, databases, application programming interfaces (APIs), backend and frontend systems, mobile applications, website content, administrative dashboards, user interfaces (UI), user experience (UX) designs, graphics, layouts, workflows, mark etplace functionality, bidding systems, matching algorithms, search functionality, recommendation engines, pricing methodologies, fraud detection systems, analytics, reporting tools, artificial intelligence (AI) workflows, AI prompts, AI configurations, automation processes, technical documentation, specifications, trade secrets, confidential information, business methods, and all updates, modifications, enhancements, derivative works, and improvements thereto, whether developed internally or on behalf of JobBidders LLC.

Except for the limited license expressly granted under these Terms, no right, title, ownership interest, or license in the Platform or any of JobBidders LLC's intellectual property is granted or transferred to any User. Users may not copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, extract, create derivative works from, sell, license, sublicense, distribute, publish, commercially exploit, or otherwise use any portion of the Platform or its proprietary technology except as expressly authorized in writing by JobBidders LLC. Any unauthorized use of the Platform or its proprietary technology may result in immediate suspension or termination of access and may subject the offending party to all remedies available under applicable law, including injunctive relief and monetary damages.

Feedback: Any feedback, suggestions, or ideas you provide to us about the Platform may be used by us for any purpose without any obligation to compensate you or keep such information confidential. You hereby assign to us, all right, title, and interest in and to such feedback and, to the extent any such rights cannot be assigned, you grant us a perpetual, irrevocable, worldwide, royalty free, fully paid, transferable, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such feedback without restriction.

17. Suspension, Deactivation, and Termination

We reserve the right to suspend, deactivate, or terminate your account and access to the Platform at any time, for any reason or no reason, with or without notice, including but not limited to violations of these Terms, fraudulent activity, safety concerns , or at our sole discretion. Termination may be without refund except where required by applicable law. Upon termination, your right to use the Platform ceases immediately.

We may also deactivate accounts that have been inactive for extended periods. You may close your account at any time by contacting us. Termination of your account does not relieve you of any payment obligations, liabilities, or other obligations incurred prior to the effective date of termination.

We reserve the right to delete or retain your account information and User Content following termination in accordance with these Terms, our Privacy Policy, applicable law, and our legitimate business needs.

Certain provisions of these Terms (including limitation of liability, indemnification, intellectual property, User Generated Content and License, and dispute resolution) survive termination, together with any other provisions that by their nature are inten ded to survive termination.

18. Modifications to the Platform and Terms

We reserve the right, in our sole discretion and to the extent permitted by applicable law and, where practicable, upon reasonable notice, to modify, suspend, or discontinue the Platform or any part of it at any time. We will not be liable to you or any th ird party for any such modification, suspension, or discontinuance.

We may also revise these Terms at any time by posting the updated version on the Platform.

We may notify you of material changes via email or a notice on the Platform or by any other reasonable means of communication. Unless otherwise stated, the revised Terms will become effective upon posting or as otherwise specified in the notice.

YOUR CONTINUED USE OF THE PLATFORM AFTER ANY SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE NEW TERMS.

If you do not agree to the modified Terms, you must stop using the Platform immediately and discontinue all access to and use of the Platform.

19. Safety and Disputes Between Users

The safety of Users is important to us, but we are not responsible for the conduct of any User, online or offline. The Platform is not a party to any agreement, contract, or arrangement entered into between Customers and Contractors. The Platform is not re sponsible for any disputes arising between Customers and Contractors, including disputes over payment, quality of work, property damage, personal injury, or any other matter. Users are encouraged to resolve disputes directly and professionally.

We may, at our sole discretion, attempt to assist in dispute resolution as a courtesy only, but make no guarantees and assume no liability for the outcome of any dispute and are under no obligation to investigate, mediate, or resolve any dispute between Users. If you have a safety concern or emergency, contact local law enforcement immediately.

You agree to notify us immediately if you become aware of any safety threats, harassment, fraud, or other violations of these Terms by any User. We reserve the right, but have no obligation, to investigate reported violations and to suspend, restrict, or terminate access to the Platform or take any other action we deem appropriate.

20. Virtual Communications, Messages, Emails, and Notifications

Virtual Communications. The Platform may provide features that enable Customers and Contractors to communicate remotely, including through in app messaging, voice or video calls, virtual consultations, interviews, file sharing, or other communication tools ("Virtual Communications"). These features may be provided by us or through third party service providers.

The Platform is not a telecommunications provider and does not guarantee the availability, quality, security, reliability, timeliness, or uninterrupted operation of any Virtual Communications. Technical issues, delays, interruptions, failures, or errors may occur, and the Platform is not responsible for any loss, damage, or claims arising from the use of Virtual Communications or any third party communication services.

The Platform does not guarantee the availability, responsiveness, identity, qualifications, or conduct of any Customer or Contractor participating in Virtual Communications. All communications, negotiations, agreements, instructions, and decisions exchange d during Virtual Communications are solely between the participating Users.

Virtual Communications may be recorded by a User where permitted by applicable law. If a communication is being recorded, you are responsible for complying with all applicable recording consent laws. If you do not consent to a recording, you should immediately discontinue the communication. The Platform is not responsible for any recording, storage, sharing, use, disclosure, retention, or misuse of any Virtual Communication by any User or third party.

YOU ACKNOWLEDGE THAT ANY INFORMATION, DOCUMENTS, IMAGES, VIDEOS, AUDIO, OR OTHER CONTENT YOU SHARE DURING VIRTUAL COMMUNICATIONS ARE SHARED AT YOUR OWN RISK. THE PLATFORM DOES NOT GUARANTEE THE SECURITY, CONFIDENTIALITY, OR RETENTION OF SUCH INFORMATION AND DISCLAIMS ALL LIABILITY ARISING FROM ITS ACCESS, DISCLOSURE, MISUSE, LOSS, OR DELETION.

Messages and Emails The Platform may provide messaging, email forwarding, masked contact information, or other communication tools to facilitate communications between Users. Messages transmitted through the Platform may be processed, stored, analyzed, reviewed, filtered, or moderated by the Platform and its service providers as necessary to operate, secure, maintain, improve, or enforce these Terms, comply with applicable law, investigate fraud or abuse, or protect the safety and integrity of the Platform.

Once a User voluntarily shares personal contact information with another User, the Platform is not responsible for the subsequent use, disclosure, or misuse of that information.

The Platform does not guarantee that any message, email, attachment, or notification will be delivered, received, displayed, or retained without delay, error, interruption, or loss.

Push Notifications. The Platform may send push notifications, email notifications, SMS notifications (where available), or other communications relating to your account, jobs, bids, payments, messages, safety alerts, or Platform updates. You may manage certain notification preferences through your account settings or your device settings; however, some service related or legally required communications cannot be disabled.

Third Party Communication Services Certain communication features may be powered by third party providers. Your use of those services may also be subject to the applicable third party's terms, privacy policies, and service conditions. The Platform is not responsible for the acts, omissions, availability, security, or performance of any third party communication provider.

21. No Rights of Third Parties

Except as expressly provided in these Terms or as otherwise required by applicable law, these Terms are entered into solely for the benefit of JobBidders and the User, and their respective permitted successors and assigns, and are not intended to confer an y rights, remedies, or benefits upon any other person or entity. No person or entity that is not a party to these Terms shall have any right to enforce any provision of these Terms; provided, however, that JobBidders may enforce any provision of these Terms on behalf of its affiliates, subsidiaries, parent companies, successors, assigns, licensors, and service providers to the extent applicable.

If any applicable law grants enforceable rights to a third party notwithstanding this Section, such rights shall apply only to the extent required by that law and shall not otherwise expand the rights or obligations of the parties under these Terms.

22. Governing Law

These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Platform, any services requested, offered, or performed through the Platform, or the relationship between you and JobBidders (collectively, a "Dispute") shall be governed by and construed in accordance with the laws of Florida, USA, without regard to conflict of law principles.

To the extent any dispute is not subject to arbitration as provided herein, you agree to submit to the personal jurisdiction of the courts located in Palm Beach County, Florida.

23. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and us with respect to the Platform and supersede all prior or contemporaneous agreements.

Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.

Governing Language: These Terms may be translated into Spanish, Portuguese, or other languages for the convenience of Users. In the event of any conflict, ambiguity, or inconsistency between the English version of these Terms and any translated version, the English version shall control and govern.

Jury Trial Waiver: If you are located in the United States, YOU AND JOBBIDDERS EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY SERVICES REQUESTED, OFFERED, OR PERFORMED THROUGH THE PLATFORM. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO ENTER INTO THESE TERMS.

24. INTRODUCTION SERVICE ONLY — NO VETTING GUARANTEE

READ CAREFULLY — THIS SECTION DIRECTLY AFFECTS YOUR RIGHTS AND SAFETY.

THE PLATFORM OPERATES SOLELY AS AN INTRODUCTION AND ADVERTISING SERVICE. WE ARE NOT A STAFFING AGENCY, EMPLOYMENT AGENCY, CONTRACTOR REFERRAL SERVICE, OR LICENSING AUTHORITY. WE DO NOT ROUTINELY SCREEN, VET, INTERVIEW, LICENSE, CERTIFY, TRAIN, SUPERVISE, OR INVESTIGATE CONTRACTORS WHO CREATE PROFILES ON THE PLATFORM.

THE PLATFORM MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES EXPRESS OR IMPLIED ABOUT THE COMPETENCE, CHARACTER, CRIMINAL HISTORY, LEGAL STATUS, INSURANCE COVERAGE, LICENSING, REFERENCES, OR IDENTITY OF ANY CONTRACTOR LISTED ON THE PLATFORM.

ANY OPTIONAL VERIFICATION BADGES OR LABELS DISPLAYED ARE SELF REPORTED BY THE CONTRACTOR AND/OR PROVIDED BY INDEPENDENT THIRD PARTIES; THEY DO NOT REPRESENT A DETERMINATION OR ENDORSEMENT BY THE PLATFORM.

CONTRACTORS MAY UPLOAD LICENSES, INSURANCE CERTIFICATES, BACKGROUND CHECKS, CERTIFICATIONS, OR OTHER CREDENTIALS TO THEIR PROFILES. UNLESS EXPRESSLY STATED OTHERWISE, JOBBIDDERS DOES NOT INDEPENDENTLY VERIFY THE ACCURACY, VALIDITY, AUTHENTICITY, OR CURRENT STATUS OF ANY SUCH DOCUMENTS OR INFORMATION.

CONTRACTORS MAY ALSO CHOOSE TO COMPLETE VERIFICATION THROUGH AN INDEPENDENT THIRD-PARTY VERIFICATION PROVIDER. ANY VERIFICATION BADGE DISPLAYED ON THE PLATFORM INDICATES ONLY THAT THE APPLICABLE THIRD-PARTY VERIFICATION PROCESS HAS BEEN COMPLETED AND DOES NOT CONSTITUTE A GUARANTEE, ENDORSEMENT, CERTIFICATION, OR WARRANTY BY JOBBIDDERS REGARDING A CONTRACTOR'S IDENTITY, QUALIFICATIONS, LICENSING STATUS, INSURANCE COVERAGE, BACKGROUND, TRUSTWORTHINESS, WORKMANSHIP, OR FUTURE PERFORMANCE.

YOU ACKNOWLEDGE AND AGREE THAT: (A) YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING THE IDENTITY, CREDENTIALS, LICENSING, INSURANCE, AND SUITABILITY OF ANY CONTRACTOR YOU CHOOSE TO ENGAGE; (B) MEETING WITH OR HIRING ANY STRANGER FROM THE INTERNET CARRIES INHERENT RISK; AND (C) THE PLATFORM IS NOT RESPONSIBLE FOR ANY HARM, LOSS, THEFT, INJURY, PROPERTY DAMAGE, FRAUD, OR OTHER CONSEQUENCE ARISING FROM YOUR DECISION TO ENGAGE A CONTRACTOR FOUND THROUGH THE PLATFORM.

WE STRONGLY RECOMMEND THAT YOU: (1) RESEARCH CONTRACTORS INDEPENDENTLY; (2) MEET CONTRACTORS IN PUBLIC BEFORE ALLOWING THEM INTO YOUR HOME OR PROPERTY; (3) VERIFY LICENSES AND INSURANCE DIRECTLY WITH ISSUING AUTHORITIES; (4) OBTAIN WRITTEN CONTRACTS AND ITEMIZED ESTIMATES BEFORE WORK BEGINS; AND (5) NEVER PAY IN FULL BEFORE WORK IS COMPLETED TO YOUR SATISFACTION.

25. RELEASE OF CLAIMS USER TO USER INTERACTIONS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY FULLY AND FOREVER RELEASE, WAIVE, DISCHARGE, AND HOLD HARMLESS THE PLATFORM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND EXPENSES OF ANY KIND WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED ARISING OUT OF OR IN CONNECTION WITH:

  • Any in person meeting, interaction, or transaction between you and any other User of the Platform
  • Any services performed or not performed by any Contractor you discover through the Platform
  • Any property damage, personal injury, emotional distress, financial loss, theft, fraud, or death resulting from any User interaction
  • Any dispute over payment, service quality, or scope of work between you and any other User
  • Any reliance on any profile, review, rating, verification badge, or other information displayed on the Platform IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."

26. Advertising, Sponsored Content, and Revenue Model

The Platform's primary source of revenue is advertising, including video advertisements, sponsored placements, promoted listings, and other paid promotional content displayed to Users. By using the Platform, you acknowledge and consent to the display of advertisements, including video ads that may appear before, during, or after certain Platform features and acknowledge that the frequency, format, placement, timing, and content of such advertisements may change at any time without prior notice.

We may display contextual, personalized, interest based, or location based advertisements in accordance with our Privacy Policy and applicable law.

Advertiser Disclaimer: The Platform is not responsible for the content, accuracy, products, services, claims, or practices of any advertiser or third party advertisement displayed on the Platform. Any transaction or interaction you have with an advertiser is solely between you and that advertiser. Paid/Promoted Listings: Some Contractor profiles, listings, or placements may appear more prominently on the Platform as a result of paid promotion or advertising arrangements. Such promoted placements do not constitute an endorsement, recommendation, or quality guarantee by the Platform. The prominence of any listing in search results or on the Platform may be influenced by paid advertising as well as other ranking factors determined by the Platform in its sole discretion, including relevance, quality, availability, user preferences, and Platform policies.

FTC Disclosure: In accordance with applicable advertising, marketing, consumer protection, and disclosure laws, including Federal Trade Commission guidelines, we disclose that material connections may exist between the Platform and featured, promoted, or sponsored conten t.

Users should treat all sponsored placements as advertising and conduct their own independent research.

Ad Viewing Requirement: Certain features of the Platform (including but not limited to job posting, bid submission, and viewing contact information) may require viewing an advertisement before access is granted. This is a condition of using those features at no monetary charge. Premium subscriptions may reduce or eliminate ad requirements. We reserve the right to modify, suspend, discontinue, or introduce advertising supported or subscription based features, products, or services at any time, subject to applicable law.

Search Rankings. Search results, recommendations, Contractor listings, and other content displayed through the Platform may be influenced by numerous factors, including relevance, proximity, responsiveness, reviews, account standing, advertising or promoted listings, subscription status, and other proprietary ranking criteria determined by JobBidders.

JobBidders does not guarantee any particular placement, ranking, visibility, or prominence within the Platform.

27. DMCA Safe Harbor Copyright Infringement

The Platform respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. We are not liable for copyright infringement committed by Users through content uploaded to the Platform, provided we act in accordance with our DMCA obligations and other applicable legal requirements.

If you believe that any content on the Platform infringes your copyright, please send a written notice to our designated agent at ChadAndrews@jobbidders.app containing: (1) a description of the copyrighted work claimed to be infringed; (2) a description of where the allegedly infringing content is located on the Platform; (3) your contact information; (4) a statement that you have a good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature.

We reserve the right, in our sole discretion, to remove, disable access to, or restrict any content that we believe may infringe intellectual property rights or otherwise violate these Terms or applicable law, with or without prior notice.

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content. Repeat infringers may have their accounts terminated or suspended at our sole discretion.

If you believe that any content on the Platform infringes intellectual property rights other than copyright (including trademarks, patents, publicity rights, or other proprietary rights), you may also notify us using the contact information above, and we may investigate and take appropriate action in our sole discretion.

Counter Notification. If you believe that content you posted was removed or disabled as a result of mistake or misidentification, you may submit a written counter notification to our designated DMCA Agent at ChadAndrews@jobbidders.app. Your counter notification must include: (1) identification of the content that was removed or disabled and the location where it appeared before removal; (2) a statement, under penalty of perjury, that you have a good faith belief the content was removed or disabled due to mistake or misidentification; (3) your name, mailing address, and telephone number; (4) a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or, if you reside outside the United States, to the jurisdiction of the appropriate U.S. federal court, and that you will accept service of process from the person who submitted the original copyright infringement notification or that person's authorized agent; and (5) your physical or electronic signature.

Upon receipt of a valid counter notification, JobBidders may restore the removed content within ten (10) to fourteen (14) business days, or within such other period required by applicable law, unless the original complaining party notifies us that it has filed a legal action seeking to prevent the restoration of the content.

28. Fraud and Scam Awareness

The Platform does not guarantee that all Users are who they claim to be. Internet based marketplaces carry inherent risks of fraud, misrepresentation, and scams. You acknowledge that:

  • Some users may create false or misleading profiles
  • Reviews and ratings may not always be authentic
  • Contractors may misrepresent their credentials, experience, or capabilities
  • We have no obligation to investigate, verify, or guarantee the accuracy of any User submitted content
  • You are responsible for taking all reasonable precautions when engaging with strangers online or in person
  • Any optional verification, identity check, background check, badge, or other trust indicator provided by or through the Platform does not constitute a guarantee, endorsement, certification, or warranty of any User's identity, qualifications, trustworthiness, or conduct.
  • Users remain solely responsible for independently verifying any Contractor's credentials, licenses, insurance, and suitability before engaging their services, regardless of whether any documents or verification badges appear on the Platform.

The Platform assumes no responsibility or liability for any loss, damage, harm, theft, fraud, misrepresentation, identity theft, financial loss, personal injury, property damage, or other misconduct committed by any User or third party..

You agree to exercise independent judgment when communicating with or engaging any User and acknowledge that all interactions and transactions are undertaken at your own risk.

If you suspect fraud, unauthorized activity, or criminal conduct, please report it to local law enforcement or the appropriate governmental authority and notify us at ChadAndrews@jobbidders.app. We reserve the right, but have no obligation, to investigate suspected fraudulent activity, cooperate with law enforcement, suspend or terminate accounts, and preserve or disclose information as permitted or required by applicable law.

29. No Employment, Agency, or Partnership Relationship

NOTHING IN THESE TERMS OR YOUR USE OF THE PLATFORM SHALL CREATE OR BE DEEMED TO CREATE ANY EMPLOYMENT, JOINT VENTURE, PARTNERSHIP, FRANCHISE, AGENCY, FIDUCIARY, OR OTHER SPECIAL RELATIONSHIP BETWEEN YOU AND THE PLATFORM.

The Platform does not direct, control, supervise, set schedules for, train, evaluate, or determine the work product of any Contractor. No Contractor is an employee, agent, representative, joint venturer, partner, or franchisee of the Platform.

The Platform has no right to control the manner, means, tools, timing, or location, methods, pricing, acceptance or rejection of work, staffing decisions, or performance of any services by any Contractor's work. Contractors bear sole responsibility for their own actions, omissions, conduct, workmanship, taxes, workers' compensation, insurance, licenses, permits, employee or subcontractor compensation, and compliance with all applicable laws.

Customers are solely responsible for selecting, engaging, supervising, and evaluating Contractors, and Contractors are solely responsible for determining whether to accept, reject, or perform any requested services.

Contractors are solely responsible for determining, calculating, collecting, reporting, and remitting any applicable federal, state, local, or other taxes arising from the services they provide through the Platform. JobBidders does not calculate, verify, collect, or remit taxes on behalf of Contractors and does not provide tax or accounting advice. Contractors are responsible for ensuring that any tax rates or amounts included in invoices or payment requests are accurate and comply with applicable law.

The Platform does not guarantee that any Customer will receive bids, that any Contractor will obtain jobs or business opportunities, that any User will receive responses to job postings or bids, that any project will be awarded or completed, or that any User will generate income, revenue, profits, or business through the Platform. The Platform makes no representation or warranty regarding the number, quality, timing, or availability of job postings, bids, Customers, Contractors, projects, or business opportunities. All decisions regarding whether to post a job, submit a bid, accept a bid, negotiate terms, enter into a contract, or complete a project are made solely by the Users at their own discretion and risk. JobBidders LLC is not a party to any agreement between Customers and Contractors and has no responsibility for the performance, completion, quality, legality, safety, or outcome of any services or transactions arranged through the Platform.

The Platform assumes no vicarious liability for the acts or omissions of any Contractor or Customer. Any harm caused by a Contractor's actions or negligence is the sole legal responsibility of the applicable User that Contractor, not of the Platform.

Nothing in these Terms shall be construed as creating any employer employee relationship between a Customer and a Contractor. Each Contractor operates as an independent business and is solely responsible for determining the manner and means by which servic es are performed.

30. Section 230 of the Communications Decency Act

As an interactive computer service provider, the Platform may be entitled to certain protections under Section 230 of the Communications Decency Act, 47 U.S.C. § 230 and other applicable laws, which provide that providers of interactive computer services a re not treated as the publisher or speaker of any information provided by another information content provider.

Accordingly, the Platform is not liable for content posted by Users, including profiles, reviews, job postings, bids, messages, photographs, videos, comments, ratings, advertisements, or other User Content.

The Platform does not endorse, verify, monitor, or guarantee the accuracy, completeness, legality, quality, safety, reliability, or suitability of any User Content and expressly disclaims all liability arising from or relating to such User Content.

The Platform reserves the right, but has no obligation, to monitor, investigate, edit, refuse, remove, restrict access to, or disable any User Content or User account at any time, with or without notice, if we believe, in our sole discretion, that such content or conduct violates these Terms, applicable law, or the rights, safety, or interests of the Platform or any person. The exercise or failure to exercise these rights shall not create any duty or liability on the part of the Platform.

Nothing in this Section shall limit any rights, immunities, defenses, or protections available to the Platform under applicable law in any jurisdiction.

32. Statute of Limitations

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

This shortened limitations period applies regardless of any statute or law to the contrary except to the extent a longer limitations period is required by applicable law or cannot lawfully be waived or shortened.

33. Venue and Jurisdiction

To the extent any dispute is not subject to arbitration under these Terms, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. You hereby irrevocably consent to personal jurisdiction and venue in those courts and waive any objection on lack of personal jurisdiction improper venue, or forum non conveniens.

You also waive any claim that any such proceeding has been brought in an inconvenient forum.

Nothing in this Section shall prevent JobBidders from seeking temporary, preliminary, or permanent injunctive or equitable relief, or enforcing its intellectual property rights, confidential information, or other proprietary rights, in any court of competent worldwide jurisdiction where such relief is necessary or appropriate.

This venue selection is made for our mutual convenience and to ensure consistent application of these Terms. You acknowledge that this may require you to litigate in a jurisdiction other than where you reside and that you voluntarily agree to this venue selection as a material part of these Terms.

If you reside in a jurisdiction whose mandatory laws prohibit the application of all or part of this Venue and Jurisdiction provision or grant you non waivable consumer or other statutory rights, such mandatory laws and rights shall apply only to the minimum extent required by applicable law and shall not otherwise affect the validity, enforceability, or application of the remaining provisions of these Terms.

If the exclusive venue provisions of this Section are held to be unenforceable under applicable law with respect to a particular claim or user, such claim shall be brought in a court of competent jurisdiction as required by applicable law, and the remainder of this Section shall remain in full force and effect.

34. Platform Safety Guidelines and User Responsibility

YOUR FAILURE TO FOLLOW THESE GUIDELINES SHIFTS FULL RESPONSIBILITY FOR ANY RESULTING HARM ENTIRELY TO YOU. THESE GUIDELINES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE A GUARANTEE OF YOUR SAFETY OR THE SAFETY OF ANY TRANSACTION OR INTERACTION.

The Platform shall have no liability whatsoever for any harm arising from your failure to observe reasonable safety precautions, including those listed below:

  • Meet in public first. Before allowing any Contractor into your home, vehicle, or private property, meet them in a public place to verify identity and establish comfort.
  • Verify credentials independently. Always verify licenses, certifications, and insurance directly with the issuing authority before any work begins. Do not rely solely on Platform profile information, verification badges, background checks, or reviews.
  • Never pay in full upfront. Use a staged payment structure tied to milestones. Retain final payment until work is completed to your satisfaction, unless otherwise agreed after exercising your independent judgment.
  • Get everything in writing. Always have a written contract or detailed estimate before work begins, including scope, cost, and timeline.
  • Tell someone. Inform a trusted person when and where you are meeting a stranger from the Platform.
  • Trust your instincts. If something feels wrong, do not proceed. You are never obligated to engage with any User.
  • Use secure payment methods. Never pay with gift cards, wire transfers, cryptocurrency, or cash only arrangements, which are common indicators of fraud.
  • Report suspicious behavior. Use the Platform's abuse reporting tools or contact us directly to flag any suspicious, threatening, or fraudulent activity immediately.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE SAFETY GUIDELINES AND AGREE TO FOLLOW THEM. THE PLATFORM'S PUBLICATION OF THESE GUIDELINES CONSTITUTES A GENERAL WARNING OF SOME OF THE RISKS ADEQUATE WARNING OF THE RISKS ASSOCIATED WITH ENGAGING STRANGERS THROUGH INTERNET BASED MARKETPLACES.

JobBidders is not intended for emergency services. If you are experiencing an emergency or an immediate threat to health, safety, or property, contact the appropriate emergency services immediately.

35. Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act ("DMCA"), other applicable intellectual property laws, and our commitment to protecting intellectual property rights, it is our policy to terminate, suspend, or otherwise restrict, in appropriate circ umstances, the accounts of Users who are repeat infringers of copyright or other intellectual property rights.

We reserve the right to terminate any User's account at our sole discretion if we determine, in our judgment, that such User is a repeat infringer or has repeatedly violated these Terms or the intellectual property rights of others. This policy applies to all User uploaded content including photos, videos, profile materials, and messages, job postings, bids, reviews, comments, and other User Content.

36. Acknowledgment of Risks Explicit Consent

BY CREATING AN ACCOUNT AND USING THE PLATFORM, YOU EXPLICITLY ACKNOWLEDGE AND CONSENT TO THE FOLLOWING:

  • You understand the Platform does not routinely verify, screen, or vet Contractors and that using the Platform to find service providers carries inherent personal and financial risk.
  • You have read and understood the Safety Guidelines in Section 34 and agree to follow them.
  • You understand that reviews, ratings, and verification badges on the Platform are not guarantees of quality, safety, or legitimacy.
  • You understand that you are solely responsible for your own safety when meeting strangers found through the Platform.
  • You understand that the Platform's primary revenue source is advertising and that some listings may be promoted or featured as a result of paid arrangements.
  • You have had the opportunity to consult legal counsel before agreeing to these Terms and have voluntarily agreed to them.
  • You are entering into this agreement knowingly, voluntarily, and with full understanding of its terms.
  • You acknowledge that your decision to engage with any User is made independently and entirely at your own discretion and risk.

37. Assumption of Risk

BY USING THE PLATFORM AND ENGAGING WITH ANY CONTRACTOR OR CUSTOMER FOUND THROUGH THE PLATFORM, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH SUCH ENGAGEMENT, INCLUDING BUT NOT LIMITED TO: RISKS OF PHYSICAL HARM, PROPERTY DAMAGE, FINANCIAL LOSS, FRAUD, THEFT, OR OTHER ADVERSE OUTCOMES. YOU ACKNOWLEDGE THAT YOU HAVE INDEPENDENTLY ASSESSED THESE RISKS AND CHOSEN TO PROCEED VOLUNTARILY. THE PLATFORM EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR OUTCOMES RESULTING FROM YOUR INDEPENDENT DECISION TO ENGAGE WITH OTHER USERS.

38. Account Ownership

If an account is registered on behalf of a business, organization, or other legal entity, that entity shall be deemed the owner of the account. The individual who creates the account will initially serve as the primary account administrator unless otherwise designated. The account owner may assign or remove administrators, manage user permissions, and control access to the account. In the event of a dispute regarding ownership or control of an account, the Company reserves the right to request documentation reasonably necessary to determine the rightful account owner and may suspend account access until the dispute is resolved.

39. Employee and Authorized Users

Business accounts may authorize employees, contractors, agents, or other representatives to access the Platform. The account owner is solely responsible for all actions taken by authorized users, ensuring that they comply with these Terms, and promptly rev oking access when authorization ends.

40. Third Party Login

If you choose to access the Platform using a third party authentication provider (such as Google, Apple, Microsoft, Facebook, or similar services), you authorize us to obtain certain account information from that provider as permitted by your privacy settings. Your relationship with the third party authentication provider is governed solely by its terms and privacy policy.

41. Suspension for Security Risks

We may suspend, restrict, or temporarily disable your account if we reasonably believe that your account has been compromised, is being used fraudulently, presents a security risk, violates these Terms, or could adversely affect the Platform, other Users, or third parties. We may require identity verification before restoring access.

42. Platform Usage Limits

We may establish reasonable operational limits regarding storage capacity, bandwidth, messaging, file uploads, API usage, advertisements, communications, or other Platform resources. We reserve the right to modify such limits at any time to maintain Platform performance, reliability, and security.

43. User Data Backup

Users are solely responsible for maintaining independent backups of any information, documents, communications, or other content submitted to or stored on the Platform. While we implement reasonable safeguards, we do not guarantee against accidental loss, corruption, deletion, or unavailability of User Content.

44. Artificial Intelligence Features and Disclaimers

The Platform incorporates artificial intelligence (“AI”) tools designed to assist Users, including AI generated job descriptions, AI photo analysis, AI Price Insight, and AI assisted bid writing (collectively, “AI Features”). AI Features are provided for i nformational and convenience purposes only and are not a substitute for professional advice, inspection, or judgment.

  • AI Features rely on automated systems and may produce content that is inaccurate, incomplete, outdated, or unsuitable for your specific circumstances.
  • AI Price Insight is an automated estimate only and does not constitute a professional appraisal, inspection, or guarantee of fair market value, project scope, or project cost.
  • You are solely responsible for reviewing, editing, and verifying any AI generated content before relying on it, submitting it, or publishing it on the Platform.
  • AI-generated content is provided for informational and convenience purposes only and does not constitute legal, financial, tax, accounting, engineering, architectural, construction, safety, insurance, or other professional advice. You should exercise your own independent judgment and consult qualified professionals where appropriate.
  • AI-generated content may not be unique and may resemble or be similar to content generated for other users or obtained from publicly available sources. JobBidders does not guarantee the originality, exclusivity, or non-infringement of any AI-generated output.
  • You remain solely responsible for reviewing, verifying, modifying, and determining the suitability of all AI-generated content before relying upon it, publishing it, submitting it to other Users, or using it in connection with any project, estimate, bid, or transaction.
  • To the fullest extent permitted by applicable law, JobBidders makes no representations or warranties regarding the accuracy, completeness, reliability, originality, legality, merchantability, fitness for a particular purpose, or suitability of any AI-generated content or recommendations and expressly disclaims all liability arising from or relating to your use of or reliance upon such content.
  • The Platform does not guarantee the accuracy, completeness, reliability, or suitability of any AI generated job description, photo analysis, price insight, or bid content.
  • Certain AI Features may be processed using third party AI service providers. By using AI Features, you consent to the transmission of your submitted content, including photos and job details, to such providers for processing, as further described in our Privacy Policy.
  • AI Features, including usage limits and availability, may be modified, expanded, restricted, or discontinued at any time without notice.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR ANY DAMAGES, LOSSES, OR DECISIONS ARISING FROM YOUR USE OF OR RELIANCE ON ANY AI GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO PRICING DECISIONS, JOB DESCRIPTIONS, PHOTO ANALYSIS, OR BID CONTENT PRODUCED THROUGH AI FEATURES.

Users should obtain estimates directly from Contractors before making hiring decisions.

AI Abuse. JobBidders reserves the right, in its sole discretion, to suspend, restrict, limit, or terminate a User's access to any AI-powered feature if it reasonably believes such feature is being used for spam, fraud, automated or excessive usage, prompt manipulat ion, unlawful purposes, or any activity that may impair the security, integrity, or operation of the Platform or its AI systems.

45. Beta Features

From time to time, JobBidders may make available beta, preview, experimental, or early-access features ("Beta Features"). Beta Features are provided on an "AS IS" and "AS AVAILABLE" basis, may contain errors, defects, bugs, or incomplete functionality, and may be modified, suspended, or discontinued at any time without prior notice. JobBidders makes no representations or warranties regarding the availability, performance, accuracy, reliability, or suitability of Beta Features, and Users assume all risks associated with their use.

46. Cookie Policy

The Platform uses cookies, web beacons, pixels, local storage, software development kits (SDKs), and similar technologies ("Cookies") to operate, secure, and improve the Platform, authenticate Users, remember preferences, analyze usage, prevent fraud, measure performance, personalize content, deliver advertisements, and provide certain Platform features.

By accessing or using the Platform, you acknowledge and agree that we may place and use Cookies on your device in accordance with our Cookie Policy and applicable law.

Where required by applicable law, we will obtain your consent before placing non essential Cookies and provide you with the ability to manage your Cookie preferences.

Certain Cookies are necessary for the operation and security of the Platform and cannot be disabled. Disabling or blocking certain Cookies through your browser or device settings may affect the availability or functionality of some portions of the Platform.

47. Notice of Illegal or Infringing Content

If you believe in good faith that any content, listing, communication, advertisement, profile, review, job posting, bid, message, or other material available through the Platform is illegal, violates applicable law, infringes your or a third party's intellectual property or other legal rights, or otherwise violates these Terms, you may notify us by email at ChadAndrews@jobbidders.app.

Your notice should include, to the extent applicable:

  • a detailed description of the allegedly illegal, infringing, fraudulent, or otherwise objectionable content or activity and the reasons you believe it violates applicable law or these Terms;
  • a detailed description of the location of the material on the Platform, including the applicable URL, listing, profile, message, or other identifying information sufficient for us to locate the content;
  • your full name, mailing address, telephone number, and email address;
  • any supporting documentation or information reasonably necessary to evaluate your notice; and
  • a statement that the information provided in your notice is accurate and submitted in good faith.

Upon receipt of a notice, JobBidders may investigate the reported content or activity and may remove, disable access to, restrict, preserve, or take any other action with respect to the reported content or the associated User account, in our sole discretion. Submission of a notice does not guarantee that any particular action will be taken.

49. Community Standards

At JobBidders, we are committed to maintaining a safe, respectful, and trusted marketplace where Customers and Contractors can connect with confidence. We value integrity, professionalism, inclusivity, and responsible use of our Platform, including AI powered features. These Community Standards establish the expectations for all Users and are intended to promote a positive experience for everyone. By using JobBidders, you agree to comply with these Standards, our Terms of Service, and our other Platform policies.

50. International Users and Local Law Compliance

The Platform is operated from the United States and is directed primarily to users located in the United States. We make no representation that the Platform or its content is appropriate, lawful, or available for use in any other location. Users who access the Platform from other jurisdictions do so on their own initiative and at their own risk and are solely responsible for compliance with the laws of their own jurisdiction, if and to the extent such laws apply. We may limit, restrict, or condition the availability of the Platform, in whole or in part, to any person or geographic area at any time.

The Platform is not available to, and may not be used by or for the benefit of, any person or entity that is subject to economic sanctions or trade restrictions imposed by the United States, the European Union, the United Kingdom, the United Nations, or an y other applicable authority, or that is located in a country or territory subject to a comprehensive embargo. By using the Platform, you represent and warrant that you are not such a person or entity, that you are not acting on behalf of any such person or entity, and that you will not use the Platform to evade or circumvent any sanctions, export-control, or trade laws.

51. Consumers in the European Union, United Kingdom, and Other Protected

Jurisdictions If you use the Platform as a consumer and you are habitually resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose laws grant you non-waivable consumer protections, then notwithstanding anything to the contrary in these Terms: (a) you benefit from the mandatory consumer-protection provisions of the law of the country in which you reside, and nothing in these Terms deprives you of those protections; (b) you may bring proceedings arising out of or relating to these Terms in the courts of your country of residence, and the Binding Arbitration and Class Action Waiver, Governing Law, Statute of Limitations, and Venue and Jurisdiction sections of these Terms apply to you only to the extent permitted by the mandatory laws of that country; (c) nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited; (d) if you are entitled under applicable law to a statutory cancellation or withdrawal right for purchases (such as the fourteen (14) day withdrawal right available to consumers in the European Union and the United Kingdom), nothing in these Terms limits that right; and (e) where any provision of these Terms is reasonably capable of more than one interpretation, the interpretation more favorable to the consumer shall apply to the extent required by applicable law.

52. Content Moderation Complaints and Appeals (European Economic Area)

If your place of establishment or residence is in the European Economic Area, the following applies in addition to the Notice of Illegal or Infringing Content section of these Terms: (a) where we remove, disable, restrict, demote, or otherwise action your content or suspend or terminate your account, we will, where required by applicable law (including the EU Digital Services Act), provide you with a statement of the reasons for that decision; (b) you may file a complaint against such a decision, or against a decision we made following a notice you submitted, through our internal complaint-handling process by contacting us at the email address set out in the Contact section within six (6) months of being notified of the decision, and we will handle complaints in a timely, diligent, non-discriminatory, and objective manner and will reverse any decision we conclude was taken in error; (c) you may also refer such a dispute to an out-of-court dispute settlement body certified under Article 21 of the EU Digital Services Act, whose decisions are not binding on either party; and (d) nothing in this Section limits your right to bring proceedings before a competent court.

53. Local Grievance and Regulatory Mechanisms

Where applicable law requires JobBidders to designate a local contact point, grievance officer, complaint mechanism, or comply with specific complaint-handling procedures or response timelines, JobBidders will comply with such requirements to the extent they apply. Complaints and inquiries may be submitted using the contact information provided in the Contact Us section of these Terms and will be acknowledged and addressed within the timeframes required by applicable law.
