Terms of Service

1. Acceptance of Terms

These JobBidders Terms of Service (the "Terms of Service" or the "Terms") constitute a legally binding agreement between User ("User," "you," or "your") and JobBidders LLC ('JobBidders,' 'we,' 'us,' 'our,' or the 'Platform') governing your access to and use of the Platform, including all websites, mobile applications, software, and services provided by or through us. These Terms, together with our Privacy Policy and any other policies incorporated by reference, govern the entirety of your relationship with us.

BY ACCESSING OR USING THE PLATFORM IN ANY WAY, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS WITHOUT LIMITATION OR QUALIFICATION. YOUR ACCEPTANCE OF THESE TERMS IS EQUIVALENT TO A WRITTEN, NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE PLATFORM.

If you use the Platform on behalf of an entity or another individual, you represent and warrant that you have authority to bind that entity or individual, and your acceptance of these Terms will be deemed an acceptance by that entity. All references to "you" include your heirs, assigns, and successors.

2. The Platform Marketplace Only

The Platform is an online web- and app-based two-sided marketplace that enables connections between customers seeking services ("Customers") and independent service providers ("Contractors" or "Pros"). Customers and Contractors are collectively referred to as "Users."

Before a Customer accepts a bid, protected phone numbers and email addresses remain private. When a bid is accepted, the Customer and selected Contractor can each access the other's phone number and email address. The selected Contractor can also access the exact job address and any access instructions the Customer provided. Other bidders and unrelated accounts cannot access these protected details through the Platform.

CONTRACTORS ARE INDEPENDENT CONTRACTORS, NOT EMPLOYEES.

Contractors are independent business owners who provide services under their own name or business name, not under the Platform's name. Contractors set their own rates, choose their own tools and supplies, maintain their own clientele, offer their services on competing platforms, and accept or reject Customers and service

agreements at their own discretion. The Platform does not control the manner, means, or methods by which Contractors perform services.

Contractors are independent contractors of Customers not of the Platform. Any agreement for services is solely between the Customer and the Contractor. The Platform is not a party to any service agreement between a Customer and a Contractor. Contractors are solely responsible for the accuracy, completeness, and truthfulness of all bids, estimates, pricing, timelines, warranties, qualifications, and other representations submitted through the Platform.

JobBidders performs safety moderation as described in these Terms, but does not independently verify or guarantee the factual accuracy of Contractors' bids, pricing, timelines, qualifications, or other representations. Safety review is not an endorsement or approval of the work or the service provider.

No Guarantee of User Identity. JobBidders may offer an optional Third Degree screening invitation and may suspend or remove accounts that violate these Terms, but does not guarantee that every User is who they claim to be or that any information provided by a User is accurate, complete, current, or authentic. Users acknowledge that online marketplaces may contain individuals who misrepresent their identity, qualifications, credentials, or other information and agree to exercise their own independent judgment and due diligence before communicating with, hiring, or otherwise engaging any User through the Platform.

No Guarantee of Jobs, Bids, or Results. JobBidders makes no guarantee that Customers will receive bids or responses to posted projects, that Contractors will obtain projects or business opportunities, that bids will be competitive or accepted, that any project will be completed, that any User will generate income, savings, or other financial benefit, or that use of the Platform will result in any particular outcome or level of success.

User-provided credentials and uploaded license or insurance documents are self-reported and do not establish verification. The only public screening label is "Screening Completed," shown only after all required components are current and JobBidders completes the eligibility process under its written policy. It does not indicate a guarantee of identity, safety, qualifications, licensing for a particular job, or future conduct. Optional screening follows the separate procedure described in Section 10. Account registration, payment, document upload, or screening completion does not establish identity, background clearance, insurance coverage, or licensing for a particular job. Ratings and other profile information help Customers make their own decisions but are not an endorsement, certification, guarantee, or warranty by JobBidders of skills, qualifications, trustworthiness, safety, suitability, or work quality. Customers remain responsible for independently checking credentials and selecting Contractors.

3. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding agreement; (c) you are not prohibited from using the Platform under applicable law; and (d) all information you provide is accurate and complete. We reserve the right to refuse or suspend access to the Platform, terminate accounts, or cancel services at our sole discretion subject to applicable law and these Terms.

4. Account Registration and Security

You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the confidentiality of your account credentials and not share them with any third party
• Be solely responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized access or breach of security
• Not create multiple accounts or use another person's account without authorization
• Not allow anyone else to use your account on your behalf except as expressly authorized

Optional third-party screening, when offered, requires the applicable provider onboarding, permissible purpose, disclosures, separate consent or authorization, dispute procedures, and any legally required adverse-action process. Merely accepting these Terms is not a blanket authorization for JobBidders to obtain a consumer report. Any legally required authorization will be presented separately before a report is requested.

5. Use of the Platform - Prohibited Conduct

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Post false, misleading, defamatory, harassing, threatening, abusive, obscene, or fraudulent content
• Use fraudulent payment instructions, counterfeit payment confirmations, chargeback abuse, or other payment scams
• Circumvent Apple App Store or Google Play billing for digital subscriptions, boosts, or other digital Platform purchases that the applicable store requires to use its billing system
• Use bots, scrapers, automated tools, or other unauthorized means to access the Platform
• Reverse engineer, decompile, disassemble, or attempt to derive source code of the Platform
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Collect or harvest user data without consent or in violation of applicable law.
• Interfere with or disrupt the integrity or performance of the Platform
• Upload or transmit viruses, malware, or any other harmful code
• Discriminate against users on the basis of race, color, religion, gender, national origin, disability, sexual orientation, or any other protected class where prohibited by applicable law.
• Engage in any conduct that could damage, disable, overburden, or impair the Platform
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission

We use automated safety filtering, user reporting and blocking tools, and human moderation workflows to help identify and act on objectionable User Content. We may refuse publication, review, restrict, suspend, or remove content or activity that violates these Terms, and may warn, suspend, or terminate Users where appropriate. Reports are reviewed as soon as reasonably possible based on severity and available information; we do not promise a fixed response time.

6. User Generated Content and License

"User Content" means all content submitted, posted, uploaded, published, or transmitted on or through the Platform by any user, including photographs, videos, profile information, job descriptions, bids, reviews, messages, and all other materials.

By submitting User Content, you grant JobBidders a non-exclusive, worldwide, royalty-free, fully paid, sublicensable license to host, store, reproduce, format, translate, transmit, and display it as reasonably necessary to operate the features you use, deliver it to its intended audience, maintain and secure the Platform, moderate content, and meet applicable legal obligations. This operating license does not make private content public. Private messages, protected contact/location fields, restricted documents, and screening or assessment information are not licensed for public advertising or marketing merely because you submit them. Service providers may process content only for the disclosed functions and subject to applicable agreements and law. You retain ownership of your User Content and represent that you have the rights and permissions needed to submit it.

Photographs and Other Uploaded Content. Users must own or have the necessary rights, permissions, and consents to upload and share photographs, videos, documents, and other content with the intended audience. This includes any required permission concerning other people's likenesses, voices, personal information, property, and confidential material. Do not include government identity documents, Social Security numbers, payment-card details, or unnecessary sensitive information; avoid showing identifiable children or private household information. A job photograph or document may contain information you did not intend to share. Review it before upload; do not assume the Platform or an AI provider automatically removes that information.

Artificial Intelligence, Content Processing, and Platform Improvement. We process User Content for the requested features and the safety, security, support, and quality-review purposes described in the Privacy Policy. Access to private content is limited to its intended participants and authorized personnel or service providers with a relevant purpose. This license does not authorize training third-party general-purpose or publicly available AI models on identifiable private User Content. Any separate training use would require a distinct advance disclosure and a lawful basis, including separate consent where required; it is not authorized just by accepting these Terms. Aggregated or de-identified information used for analytics and service improvement must not reasonably identify a person, and we must not attempt to re-identify it except as permitted by law for a disclosed, necessary purpose.

Public Reviews and Promotional Content. Publicly published reviews, ratings, testimonials, and project photographs may be reproduced and displayed to operate the Platform. They may be used in Platform promotion only within the rights you granted, with any separately required permission or disclosure, and without exposing private content or misrepresenting the reviewer's experience or endorsement. This is a non-exclusive license, not a transfer of copyright. Honest consumer reviews are not prohibited or penalized merely because they are negative. Do not create fake experiences, AI-generated fake reviews, undisclosed promotional endorsements, or incentives conditioned on positive or negative sentiment. Moderation may address unlawful material, harassment, private information, spam, irrelevant material, and demonstrably false content; disagreement with an opinion alone is not grounds for suppression.

You retain ownership of your User Content. The operating license survives account closure only as needed for the disclosed retention purposes, applicable legal obligations, disputes, and necessary backup handling described in the Privacy Policy. It does not create an unlimited right to retain or publicly market private content after deletion. Applicable access, deletion, and other privacy rights are preserved.

JobBidders uses automated safety screening and human moderation to help enforce its Community Rules. Do not submit threats, harassment, sexual exploitation, prohibited or illegal services, fraud, impersonation, spam, or private identity or financial information in public or shared content. A submission may be allowed, returned with a specific correction request, or held for human review without being published. We do not silently rewrite rejected content. Automated screening can make mistakes and does not guarantee that every violation will be detected. Users can report content, block abusive users, and request human review through Settings or support@jobbidders.app. Permanent suspensions and appeals require a human reviewer; action-specific temporary restrictions may be used for urgent safety concerns. We do not promise a fixed review time.

Content you publish publicly can be viewed or copied by other people. Private conversations and restricted documents are shared only through the intended, authorized functionality, not automatically with all users. Recipients can still copy or disclose what you send them; review content before sharing. Nothing in this section removes JobBidders' own applicable privacy, security, or legal obligations.

7. Fees, Billing, and Payments

JobBidders currently offers digital Platform products such as subscriptions and boosts through the Apple App Store or Google Play. The applicable app store processes payment and controls billing, refunds, renewal, and cancellation under its terms and applicable law. RevenueCat helps JobBidders manage product and entitlement status. JobBidders does not process payments between Customers and Contractors for contracted work.

JobBidders does not accept, collect, hold, transmit, escrow, or process Customer-to-Contractor payments for contracted work. This includes job charges, deposits, visit or estimate fees, milestone payments, and payment of contractor invoices. Customers and Contractors arrange and complete those payments directly with one another using their own agreed lawful payment method. JobBidders does not charge a commission on the contracted work or provide payment protection or a guarantee of payment. Any payment dispute, nonpayment, refund request, or payment-method issue concerning the contracted work must be addressed with the Contractor or the payment provider used by the parties. Nothing in these Terms excludes any responsibility or right that cannot lawfully be excluded.

When you purchase a digital Platform product, you authorize the applicable app store to charge the payment method associated with your store account. JobBidders does not receive or store your complete payment-card credentials. Store transaction identifiers and entitlement status may be shared with JobBidders and RevenueCat so that the Platform can provide, restore, reconcile, and support your purchase.

Certain features of the Platform may be offered free of charge, while other features require payment of applicable fees. JobBidders reserves the right to introduce, modify, remove, or charge fees for any feature or service at any time. Where required by applicable law, we will provide reasonable notice of material pricing changes before such changes become effective.

Requests for refunds of App Store or Google Play purchases are governed by the applicable store's refund rules and applicable law. JobBidders does not maintain a separate refund policy that overrides the store's process. Contact support@jobbidders.app if you need help identifying the relevant purchase or store support path.

If a digital purchase expires, is cancelled, refunded, revoked, or cannot be verified by the applicable store, paid features may be limited or removed. This does not affect any separate payment obligation that a Customer and Contractor may have to each other under their own service agreement.

Prices may vary based on your geographic location, currency, subscription plan, promotional offers, taxes, or other factors. You acknowledge that your financial institution or payment provider may charge foreign exchange fees, currency conversion fees, banking fees, or similar charges, for which JobBidders is not responsible.

For digital Platform purchases, applicable taxes and billing amounts are presented and processed through the Apple App Store or Google Play under the applicable store's terms and applicable law. This paragraph does not determine the tax treatment of contracted work. The independent Contractor or document issuer is responsible for the applicable taxes on that work, as described in Sections 7 and 29.

Automatic Renewal Disclosure: If you purchase a subscription (e.g., a Pro plan), the following terms apply in addition to the general billing terms above, in order to comply with state automatic renewal and negative option laws:

• Before you complete a subscription purchase, we will clearly and conspicuously disclose the subscription price, the length of the initial term, that the subscription will automatically renew, the renewal price (if different), and the length of each renewal term.
• By completing a subscription purchase, you provide affirmative consent to these automatic renewal terms; your consent is not obtained through a pre-checked box or default selection.
• You may cancel through the subscription-management settings of the Apple App Store or Google Play account used to purchase the subscription. Where available, the Platform provides a link to the applicable store's management page. No separate JobBidders cancellation fee is charged.
• Any trial or promotional pricing, including its duration and the price that follows, is shown by the applicable app store before purchase. The app store manages the subscription and any billing notices it provides.
• The applicable app store manages renewal notices and subscription settings. Review that store account for current renewal and cancellation information.
• This Automatic Renewal Disclosure supplements, and does not limit, the general subscription billing terms described in this Section.

Customer-Contractor Payments: Because JobBidders does not process payment for contracted work, Users may select their own lawful payment method. Users do so at their own risk and should independently verify payment instructions, receipts, and counterparties. JobBidders invoices, estimates, change orders, and price-change records are communication and recordkeeping tools; they are not payment processing, escrow, legal advice, tax advice, or a JobBidders guarantee of payment or performance. The independent issuer is responsible for entering the correct charges, applicable taxes, and payment terms agreed with the Customer. JobBidders does not impose a standard job-payment deadline, deposit percentage, tax rate, payment method, or late fee. An estimate describes proposed work and pricing; an invoice records the issuer's charges and is not automatically described as an estimate. Neither document replaces any agreement or jurisdiction-specific notice required by law.

Subscription fees are billed by the applicable app store on a recurring basis until cancelled through that store. The app store displays the applicable price, duration, and renewal terms before purchase; manage or cancel the subscription through that store.

Cancellation timing, access through the paid period, and any refund are governed by the applicable app store's terms and applicable law. JobBidders does not override the store's refund or cancellation process.

If the applicable store cannot verify a digital purchase or reports its expiration, cancellation, refund, or revocation, access to the associated paid features may be limited or removed. This does not by itself suspend ordinary free marketplace access or affect Customer-Contractor payment obligations. Safety restrictions and other violations are handled separately under these Terms.

You are responsible for maintaining accurate payment information in the applicable app-store account. Job-payment instructions and terms are agreed directly between Customers and Contractors.

8. Contractor Representations and Warranties

By using the Platform as a Contractor, you represent and warrant that:

• You have all licenses, permits, certifications, and insurance required by applicable law to perform the services you offer and that such licenses, permits, certifications, and insurance will remain valid throughout your use of the Platform.
• You will perform all services in a professional, workmanlike manner consistent with industry standards
• All information in your profile, including skills, credentials, and work history, is accurate and not misleading and will be kept current and up to date.
• You are legally authorized to work in the jurisdiction where you provide services
• You will comply with all applicable laws, regulations, and safety standards
• You are solely responsible for determining and paying all applicable taxes on your earnings
• You carry adequate insurance coverage for the services you provide and will provide proof of such insurance upon request where permitted by applicable law
• You will not engage in any illegal, unsafe, or unethical conduct in connection with services booked through the Platform
• You will promptly notify the Platform of any suspension, expiration, revocation, investigation, or other material change affecting your licenses, permits, certifications, insurance, or legal authority to provide services.
• License and insurance documents uploaded to the Platform are user-provided and are not independently verified merely because they appear on the Platform. Optional screening is handled separately as described in Section 10. JobBidders stores limited screening process and eligibility metadata, not full report findings, and does not display findings or use screening eligibility to limit ordinary account or bid access or change contractor ranking.

9. Customer Responsibilities

By using the Platform as a Customer, you agree that:

• You are solely responsible for evaluating and selecting Contractors.
• You will provide accurate information about the scope of work needed and promptly update any material changes to the job requirements.
• You will pay for contracted services directly to the Contractor using a lawful payment method agreed between you and the Contractor.

Estimates and invoices created or sent through JobBidders are records and do not charge a payment method or transfer funds. JobBidders does not process payments for contractor services; Customers pay Contractors directly using an agreed lawful method.

• You will provide a safe working environment for Contractors and comply with all applicable health, safety, and legal requirements.
• You will not engage in harassment, discrimination, or abusive behaviour toward Contractors.
• Any directions or instructions you give to a Contractor do not create an employment relationship between you and that Contractor or between the Contractor and the Platform.
• You are solely responsible for obtaining any approvals, permissions, or consents required for the Contractor to perform the requested services at the applicable location.
• You will not request, encourage, or require a Contractor to perform any unlawful, unsafe, or unethical act or any service that violates applicable law or these Terms.

10. Background Checks and Verifications

3rd Degree Screening, Inc. ("Third Degree") is an independent screening provider. Optional screening is available only to signed-in Contractors. Before JobBidders sends an invitation request, the Contractor is shown the included services, verified current itemized price, possible additional fees, eligibility policy, and privacy information, and may cancel. If current pricing cannot be verified, JobBidders will stop the flow and will not create an order using stale or missing prices. Third Degree collects screening payment and any further information or authorization directly through its secure site under its own notices and consent process. Third Degree may pay JobBidders referral compensation, separate from any contracted work. JobBidders does not collect screening payments, make a duplicate screening checkout, or accept government-ID or biometric uploads through its app.

Screening applies to the named Contractor or profile owner submitted to Third Degree and does not automatically screen employees, helpers, or subcontractors. The standard scope includes 3DScomplete criminal-background screening, enhanced biometric identity verification, review under JobBidders' written Screening Completed Eligibility Policy, and professional-license verification when applicable. Other checks are excluded unless a separate policy is adopted. JobBidders uses the same current written policy and legally permitted standardized factors for every Contractor. Relevant criminal-history information, unresolved identity discrepancies, or applicable license issues may affect label eligibility. Arrests alone, pending charges alone, protected records, identity mismatches, or incomplete, inaccurate, or disputed information do not by themselves produce a final unfavorable decision.

Paying for or completing screening does not guarantee the label. An unresolved identity, report accuracy, license, policy, notice, dispute, or individualized-assessment step remains under review; no public failure indicator or reason is shown. If JobBidders considers withholding or removing the label based on screening information, JobBidders initiates the applicable adverse-action workflow. Third Degree generates and delivers required notices, provides the report and Summary of Rights, administers applicable waiting periods and disputes, and handles reinvestigation. A dispute pauses the decision. When required, JobBidders reviews the Contractor's individualized-assessment response under the written policy before making the final label decision; Third Degree delivers the final adverse-action notice through its system.

JobBidders stores limited metadata needed to operate and audit the process, such as user and order references, package components, policy version and jurisdiction overlay, operational state, eligibility outcome, permitted license details, and relevant timestamps. JobBidders does not retain full background reports, identity documents, selfie images, biometric templates or measurements, detailed court records, payment-card information, or individualized-assessment documents when Third Degree can retain them. Sensitive screening details are not placed in ordinary analytics, logs, push previews, or support tools. The only public screening label is "Screening Completed," shown only when every required component is current and JobBidders records an eligible outcome after the required policy process. The label is neutral and does not guarantee identity, safety, licensing, qualifications, honesty, reliability, future conduct, or work quality.

Screening-label eligibility is separate from marketplace access. A Contractor who does not purchase screening, does not complete it, remains under review, or is not eligible for the label may ordinarily keep an account, browse jobs, and bid. Separate, documented Platform safety violations may be handled under the moderation and account-action process. Screening validity, renewal, jurisdictional requirements, and the current policy version are described in the Screening Completed Eligibility Policy and applicable notices.

Users are solely responsible for exercising their own judgment and conducting any additional due diligence they deem appropriate before engaging in any transaction or entering into any relationship through the Platform.

Manual uploads through JobBidders' contractor-document feature are optional and limited to business or trade licenses and insurance certificates. JobBidders does not require or accept government-ID uploads for this feature. Uploaded documents are user-provided and are not independently verified merely because they appear on the Platform. Users remain responsible for checking the license type, jurisdiction, scope, current status, and required insurance with the relevant issuer before work begins.

11. Reviews and Ratings

The Platform may allow Users to post reviews and ratings of one another. Reviews are user-submitted opinions and do not represent the views of JobBidders. We do not independently verify every factual statement or the quality of a completed service. We use automated safety screening and human moderation for reported or flagged content; you may report a review that you believe violates these Terms or applicable law by contacting support@jobbidders.app. We may remove, restrict, or refuse to publish reviews that violate our rules or applicable law. You agree not to submit false, misleading, fraudulent, or defamatory reviews or reviews submitted in exchange for compensation or other improper consideration unless expressly permitted by law and clearly disclosed.

You acknowledge that reviews and ratings may affect a user's reputation and visibility on the Platform and that the Platform is not responsible for the content of any review or rating submitted by another User.

We review reported or flagged reviews under the moderation process described in these Terms. When needed, a human reviewer may assess context, supporting information, and any appeal. We do not promise proactive review of every review or guarantee that every inaccurate or non-compliant review will be detected.

Reviews provided in exchange for compensation, discounts, free services, or any other incentive must comply with applicable law, including the Federal Trade Commission's Endorsement Guides, and any required disclosures must be clearly and conspicuously made.

While Users retain ownership of the text of their reviews and other User Content, JobBidders LLC retains all rights to determine the presentation, formatting, organization, ranking, aggregation, display, and visibility of reviews and ratings on the Platform and may remove, reorder, suppress, or otherwise moderate reviews in its sole discretion as permitted by applicable law and these Terms.

Review Moderation. JobBidders may remove, restrict, or refuse to publish reviews, ratings, comments, or feedback that it reasonably determines to be false, misleading, fraudulent, defamatory, retaliatory, abusive, spam, generated through a conflict of interest, intended to manipulate ratings or rankings, or otherwise in violation of these Terms or applicable law. Users may appeal moderation actions through the process described in these Terms.

12. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• Any implied warranties of merchantability, fitness for a particular purpose, title, or non infringement
• Any warranty that the Platform will be uninterrupted, error free, secure, or free of viruses or other harmful components, or that any defects will be corrected.
• Any warranty regarding the quality, safety, suitability, reliability, or legality of any services offered by Contractors
• Any warranty regarding the accuracy or completeness of any content, including user profiles, reviews, background checks, or credentials
• Any warranty that the Platform will meet your requirements or expectations or achieve any intended results.
• Any warranty regarding the availability, compatibility, or performance of the Platform on any particular device, browser, operating system, or network.
• Any warranty regarding third-party products, services, websites, applications, digital-purchase or entitlement services, or content accessible through or integrated with the Platform.

We may modify, suspend, or discontinue, restrict, the Platform or any feature, service, or content therein at any time, temporarily or permanently, with or without notice.

You are solely responsible for maintaining backup copies of any content or data you post to the Platform. We have no obligation to store, back up, or restore or make available any User Content.

We do not guarantee that the Platform will operate continuously, without interruption, securely, or error free. Scheduled maintenance, system upgrades, emergency maintenance, internet outages, third party failures, and events beyond our reasonable control may temporarily affect availability.

THE PLATFORM MAKES NO WARRANTIES REGARDING THE CONDUCT, IDENTITY, CREDENTIALS, BACKGROUND, OR QUALITY OF WORK OF ANY USER.

USE OF THE PLATFORM AND ENGAGEMENT OF ANY CONTRACTOR IS ENTIRELY AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE SUITABILITY OF ANY USER, CONTRACTOR, OR SERVICE BEFORE ENTERING INTO ANY TRANSACTION OR ENGAGEMENT.

WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY MODIFICATION, SUSPENSION, DISCONTINUATION, RESTRICTION, OR UNAVAILABILITY OF THE PLATFORM OR ANY PART THEREOF, INCLUDING ANY LOSS OF POSTED DATA, BIDS, JOB LISTINGS, MESSAGES, OR OTHER CONTENT.

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PLATFORM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Personal injury, property damage, or death arising from services performed by any Contractor
• Any damages arising from your reliance on any information obtained through the Platform
• Any unauthorized access to or alteration of your account or data
• Any conduct or content of any third party on the Platform
• Any damages arising from off platform transactions or communications
• Any interruption, suspension, unavailability, delay, or failure of the Platform or third-party services, including digital-purchase, entitlement, or communication services.
• Any loss, damage, or liability arising from the acts or omissions of any Customer, Contractor, or other third party, whether or not introduced or verified through the Platform.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO THE PLATFORM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF CLAIMS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

The indemnification obligations of Customers and Contractors are set forth below in this Section. JobBidders reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You agree to cooperate fully in the defense of any such matter and shall not settle any claim or matter subject to indemnification without JobBidders' prior written consent.

A. Customer Indemnification

If you are a Customer, you agree to indemnify, defend, and hold harmless JobBidders, its affiliates, owners, officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the "JobBidders Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• your use of, inability to use, or participation on the Platform;
• your breach of these Terms or any other agreement with JobBidders;
• your violation of any applicable law, regulation, or the rights of any User or third party;
• your use of any third party websites, links, products, or services accessed through the Platform;
• any User Content, reviews, ratings, messages, photographs, or other content submitted by you or through your account, including any claim that such content infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party or otherwise violates applicable law; and
• your acts or omissions, or the acts or omissions of any person acting on your behalf, in connection with the Platform or any services arranged through the Platform.

B. Contractor Indemnification

If you are a Contractor, you agree to indemnify, defend, and hold harmless the JobBidders Parties from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• your use of, inability to use, or participation on the Platform;
• your offering, performance, failure to perform, or inability to perform any services, or your receipt or non receipt of payment for such services;
• your breach of these Terms or any other agreement with JobBidders;
• your violation of any applicable law, regulation, or the rights of any User or third party;
• any User Content, reviews, ratings, messages, photographs, or other content submitted by you or through your account, including any claim that such content infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party or otherwise violates applicable law; and
• your acts or omissions, or the acts or omissions of your employees, subcontractors, assistants, agents, or representatives in connection with the services or the Platform.

15. BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Scope and informal resolution. This section applies only to the extent permitted by applicable law. Before starting arbitration, either party may send the other a written notice describing the dispute and requested resolution. Send notices to JobBidders at support@jobbidders.app and to you at the email address associated with your account. The parties will try in good faith to resolve the dispute for 30 days after notice. Either party may proceed sooner if needed to preserve a claim or obtain urgent relief, and this process does not extend a legal filing deadline unless applicable law allows.

Agreement to arbitrate. Except for the matters listed below, you and JobBidders agree to resolve covered disputes individually through final, binding arbitration administered by the American Arbitration Association (AAA). For a dispute brought by an individual in a consumer capacity where the AAA Consumer Arbitration Rules apply, the AAA Consumer Arbitration Rules and Mediation Procedures in effect when the case is filed will govern. For other disputes, the AAA Commercial Arbitration Rules in effect when the case is filed will govern, to the extent applicable law permits. Related mass filings will be administered under the AAA Mass Arbitration Supplementary Rules and the applicable fee schedule. If the AAA cannot or will not administer a dispute under this provision, the parties may agree on a substitute administrator; otherwise a court with jurisdiction will decide the next procedure.

Procedure, location, and costs. Arbitration may proceed by documents, video, telephone, or in person as the applicable AAA rules permit. If an in-person hearing is required for an individual consumer dispute, it will take place in the county where you reside unless you and JobBidders agree otherwise or applicable law requires another location. JobBidders will pay the AAA administrative fees and arbitrator compensation for an individual consumer claim, except that you may be asked to pay no more than the filing fee you would pay to bring the same claim in a court of competent jurisdiction. JobBidders will pay any amount above that cap. For other disputes, fees are allocated under the applicable AAA rules and law. Each party may be represented by counsel at its own expense unless the law or applicable rules provide otherwise.

Matters that remain in court or before agencies. Either party may bring an individual claim within the jurisdiction of a small-claims court. Nothing in this section prevents you from contacting, filing a complaint with, or participating in a proceeding before a government agency. Either party may ask a court with jurisdiction for temporary emergency relief to preserve the status quo while arbitration is pending. A claim for public injunctive relief, or any claim or remedy that applicable law allows only in court, remains in court to the extent required by that law.

INDIVIDUAL PROCEEDINGS. TO THE EXTENT PERMITTED BY LAW, ARBITRATION AND ANY COURT PROCEEDING WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THIS DOES NOT WAIVE A RIGHT THAT CANNOT LAWFULLY BE WAIVED.

If a court finally determines that the individual-action waiver cannot be enforced for a particular claim, that claim must proceed in court and not in arbitration on a class, collective, or representative basis, to the extent the law permits. Any remaining enforceable individual claims will proceed separately.

Who decides enforceability. A court, not an arbitrator, will decide whether an arbitration agreement was formed and whether this arbitration provision or its individual-action waiver is enforceable. Once a court determines that a valid arbitration agreement applies, the arbitrator may decide procedural and merits issues assigned to the arbitrator by applicable law and the applicable AAA rules.

Opt out. You may reject this arbitration agreement by emailing support@jobbidders.app within 30 days after you first accept these Terms. Use the subject “Arbitration Opt-Out” and include your name and the email address associated with your account so we can identify the notice. No signature, mailing address, or telephone number is required. Opting out does not affect the rest of these Terms or any other agreement between you and JobBidders.

Severability and survival. If any part of this arbitration agreement is unenforceable, the remaining parts will apply to the extent permitted by law, except that an unenforceable individual-action waiver will be handled as stated above. This section survives account closure only for disputes arising from events before closure.

16. Intellectual Property

The Platform and its original content, features, functionality, design, logos, trademarks, service marks, trade names, and software are owned by us and protected by copyright, trademark, patent, trade secret, database and other intellectual property laws. You are granted a limited, non exclusive, non transferable, revocable license to access and use the Platform solely for its intended purposes and in accordance with these Terms. You may not copy, modify, distribute, sell, license, sublicense, or lease any part of the Platform or its content without our express written permission. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices appearing on the Platform or its content. All rights not expressly granted are reserved.

Nothing in these Terms grants you any ownership or other rights in or to the Platform or our intellectual property except for the limited license expressly granted above.

Platform Intellectual Property and Proprietary Technology. Without limiting the foregoing, JobBidders LLC owns and retains all right, title, and interest in and to the Platform and all related technology, software, systems, and intellectual property, including, without limitation, all source code, object code, software architecture, databases, application programming interfaces (APIs), backend and frontend systems, mobile applications, website content, administrative dashboards, user interfaces (UI), user experience (UX) designs, graphics, layouts, workflows, marketplace functionality, bidding systems, matching algorithms, search functionality, recommendation engines, pricing methodologies, fraud detection systems, analytics, reporting tools, artificial intelligence (AI) workflows, AI prompts, AI configurations, automation processes, technical documentation, specifications, trade secrets, confidential information, business methods, and all updates, modifications, enhancements, derivative works, and improvements thereto, whether developed internally or on behalf of JobBidders LLC.

Except for the limited license expressly granted under these Terms, no right, title, ownership interest, or license in the Platform or any of JobBidders LLC's intellectual property is granted or transferred to any User. Users may not copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, extract, create derivative works from, sell, license, sublicense, distribute, publish, commercially exploit, or otherwise use any portion of the Platform or its proprietary technology except as expressly authorized in writing by JobBidders LLC. Any unauthorized use of the Platform or its proprietary technology may result in immediate suspension or termination of access and may subject the offending party to all remedies available under applicable law, including injunctive relief and monetary damages.

Feedback: Any feedback, suggestions, or ideas you provide to us about the Platform may be used by us for any purpose without any obligation to compensate you or keep such information confidential. You hereby assign to us, all right, title, and interest in and to such feedback and, to the extent any such rights cannot be assigned, you grant us a perpetual, irrevocable, worldwide, royalty free, fully paid, transferable, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such feedback without restriction.

17. Suspension, Deactivation, and Termination

We may suspend or restrict access for violations of these Terms, fraud, abuse, security concerns, or other lawful, documented reasons. Temporary, action-specific restrictions may be used for urgent safety concerns. Permanent suspensions and appeals require human review under our moderation process; any applicable Third Degree notices, dispute opportunities, and other legally required procedures must be respected. Optional screening status alone does not affect account access or bid access. Any refund limitation is subject to applicable law and Apple/Google rules and does not override non-waivable rights.

We may deactivate long-inactive accounts where permitted by law and applicable notice requirements. You may request account deletion using the in-app Delete Account option or follow the public account and data deletion instructions. Deletion does not by itself cancel an Apple/Google subscription; manage that subscription through the applicable store. Account closure does not erase lawful obligations already incurred between you and another user, and it does not create a JobBidders contractor-payment obligation.

We reserve the right to delete or retain your account information and User Content following termination in accordance with these Terms, our Privacy Policy, applicable law, and our legitimate business needs.

Certain provisions of these Terms (including limitation of liability, indemnification, intellectual property, User Generated Content and License, and dispute resolution) survive termination, together with any other provisions that by their nature are inten ded to survive termination.

18. Modifications to the Platform and Terms

We reserve the right, in our sole discretion and to the extent permitted by applicable law and, where practicable, upon reasonable notice, to modify, suspend, or discontinue the Platform or any part of it at any time. We will not be liable to you or any th ird party for any such modification, suspension, or discontinuance.

We may also revise these Terms at any time by posting the updated version on the Platform.

We will provide notice of material changes through email, an in-app notice, or another appropriate method, with an effective date and any advance notice required by law. Changes do not retroactively authorize a materially different use of previously collected private content. Separate screening authorization, required advertising/tracking consent, and other processing that requires specific consent cannot be obtained merely by posting revised Terms.

CONTINUED USE MAY CONSTITUTE ACCEPTANCE OF REVISED PLATFORM TERMS WHERE LAWFUL, BUT DOES NOT SUBSTITUTE FOR SEPARATE AUTHORIZATION OR CONSENT REQUIRED BY LAW. NON-WAIVABLE RIGHTS REMAIN UNAFFECTED.

If you do not agree to the modified Terms, you must stop using the Platform immediately and discontinue all access to and use of the Platform.

19. Safety and Disputes Between Users

The safety of Users is important to us, but we are not responsible for the conduct of any User, online or offline. The Platform is not a party to any agreement, contract, or arrangement entered into between Customers and Contractors. The Platform is not re sponsible for any disputes arising between Customers

and Contractors, including disputes over payment, quality of work, property damage, personal injury, or any other matter. Users are encouraged to resolve disputes directly and professionally.

We do not guarantee that we can mediate or resolve a dispute between a Customer and Contractor about contracted work. Safety and content reports are handled separately under the moderation process described in these Terms. If you have an emergency, contact local law enforcement immediately.

Please report safety threats, harassment, fraud, or other violations of these Terms through the in-app reporting tools or support@jobbidders.app. We triage reports under our moderation process, which may include automated screening, human review, content restrictions, or account action. We do not guarantee a particular outcome or response time.

20. Virtual Communications, Messages, Emails, and Notifications

Virtual Communications. The Platform provides in-app text messaging and job-linked sharing of the job information and documents supported by the app ("Virtual Communications"). Device dictation may be used to enter message text. These Terms do not represent that JobBidders provides in-app voice calls, video calls, recorded voice messages, or unrestricted chat attachments. Communications outside JobBidders are arranged by the participating Users through their own services.

The Platform is not a telecommunications provider and does not guarantee the availability, quality, security, reliability, timeliness, or uninterrupted operation of any Virtual Communications. Technical issues, delays, interruptions, failures, or errors may occur, and the Platform is not responsible for any loss, damage, or claims arising from the use of Virtual Communications or any third party communication services.

The Platform does not guarantee the availability, responsiveness, identity, qualifications, or conduct of any Customer or Contractor participating in Virtual Communications. All communications, negotiations, agreements, instructions, and decisions exchange d during Virtual Communications are solely between the participating Users.

Virtual Communications may be recorded by a User where permitted by applicable law. If a communication is being recorded, you are responsible for complying with all applicable recording consent laws. If you do not consent to a recording, you should immediately discontinue the communication. The Platform is not responsible for any recording, storage, sharing, use, disclosure, retention, or misuse of any Virtual Communication by any User or third party.

YOU ACKNOWLEDGE THAT ANY INFORMATION, DOCUMENTS, IMAGES, VIDEOS, AUDIO, OR OTHER CONTENT YOU SHARE DURING VIRTUAL COMMUNICATIONS ARE SHARED AT YOUR OWN RISK. THE PLATFORM DOES NOT GUARANTEE THE SECURITY, CONFIDENTIALITY, OR RETENTION OF SUCH INFORMATION AND DISCLAIMS ALL LIABILITY ARISING FROM ITS ACCESS, DISCLOSURE, MISUSE, LOSS, OR DELETION.

Messages and Emails The Platform may provide messaging, email forwarding, masked contact information, or other communication tools to facilitate communications between Users. Messages transmitted through the Platform may be processed, stored, analyzed, reviewed, filtered, or moderated by the Platform and its service providers as necessary to operate, secure, maintain, improve, or enforce these Terms, comply with applicable law, investigate fraud or abuse, or protect the safety and integrity of the Platform.

Once a User voluntarily shares personal contact information with another User, the Platform is not responsible for the subsequent use, disclosure, or misuse of that information.

The Platform does not guarantee that any message, email, attachment, or notification will be delivered, received, displayed, or retained without delay, error, interruption, or loss.

Push Notifications. The Platform may send push notifications, email notifications, SMS notifications (where available), or other communications relating to your account, jobs, bids, digital Platform purchases, messages, safety alerts, or Platform updates. A notice about a contractor invoice or a user-recorded payment status does not mean JobBidders processes job payments. You may manage certain notification preferences through your account settings or your device settings; however, some service-related or legally required communications cannot be disabled.

Third Party Communication Services Certain communication features may be powered by third party providers. Your use of those services may also be subject to the applicable third party's terms, privacy policies, and service conditions. The Platform is not responsible for the acts, omissions, availability, security, or performance of any third party communication provider.

21. No Rights of Third Parties

Except as expressly provided in these Terms or as otherwise required by applicable law, these Terms are entered into solely for the benefit of JobBidders and the User, and their respective permitted successors and assigns, and are not intended to confer an y rights, remedies, or benefits upon any other person or entity. No person or entity that is not a party to these Terms shall have any right to enforce any provision of these Terms; provided, however, that JobBidders may enforce any provision of these Terms on behalf of its affiliates, subsidiaries, parent companies, successors, assigns, licensors, and service providers to the extent applicable.

If any applicable law grants enforceable rights to a third party notwithstanding this Section, such rights shall apply only to the extent required by that law and shall not otherwise expand the rights or obligations of the parties under these Terms.

22. Governing Law

These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Platform, any services requested, offered, or performed through the Platform, or the relationship between you and JobBidders (collectively, a "Dispute") shall be governed by and construed in accordance with the laws of Florida, USA, without regard to conflict of law principles.

To the extent any dispute is not subject to arbitration as provided herein, you agree to submit to the personal jurisdiction of the courts located in Palm Beach County, Florida.

23. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and us with respect to the Platform and supersede all prior or contemporaneous agreements.

Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.

Governing Language: The app interface is available in English and Spanish. These Terms are currently provided in English only; no Spanish legal translation is supplied with them. Any legal translation JobBidders publishes later will be identified as a translation. Subject to applicable law and non-waivable consumer rights, the English version controls if a published translation conflicts with it.

Jury Trial Waiver: If you are located in the United States, YOU AND JOBBIDDERS EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY SERVICES REQUESTED, OFFERED, OR PERFORMED THROUGH THE PLATFORM. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO ENTER INTO THESE TERMS.

24. Platform Role and Screening Limits

JOBBIDDERS OPERATES A MARKETPLACE AND PROVIDES SOFTWARE THAT HELPS USERS FIND, CONTACT, AND SHARE PROJECT INFORMATION WITH ONE ANOTHER. WE ARE NOT A PARTY TO A CUSTOMER-CONTRACTOR SERVICE AGREEMENT, A LICENSING AUTHORITY, OR A PROCESSOR OF PAYMENTS FOR CONTRACTED WORK. OUR CONTENT SAFETY MODERATION DOES NOT VERIFY THE FACTUAL ACCURACY OR QUALITY OF A USER'S WORK.

THE PLATFORM MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES EXPRESS OR IMPLIED ABOUT THE COMPETENCE, CHARACTER, CRIMINAL HISTORY, LEGAL STATUS, INSURANCE COVERAGE, LICENSING, REFERENCES, OR IDENTITY OF ANY CONTRACTOR LISTED ON THE PLATFORM.

UPLOADED LICENSE AND INSURANCE DOCUMENTS ARE USER-PROVIDED AND DO NOT ESTABLISH VERIFICATION. THE ONLY PUBLIC SCREENING LABEL IS "SCREENING COMPLETED," SHOWN ONLY WHEN THIRD DEGREE REPORTS THAT THE ORDER IS COMPLETE. THIS LABEL DOES NOT INDICATE A FAVORABLE RESULT AND IS NOT A JOBBIDDERS ENDORSEMENT OR GUARANTEE.

CONTRACTORS MAY OPTIONALLY UPLOAD BUSINESS-LICENSE COPIES AND INSURANCE CERTIFICATES FOR CUSTOMERS TO REVIEW. DO NOT UPLOAD GOVERNMENT IDENTITY DOCUMENTS, SOCIAL SECURITY NUMBERS, OR BACKGROUND-CHECK REPORTS TO JOBBIDDERS. USER-PROVIDED DOCUMENTS ARE NOT VERIFIED MERELY BECAUSE THEY ARE UPLOADED. JOBBIDDERS DOES NOT GUARANTEE THEIR ACCURACY, VALIDITY, AUTHENTICITY, COVERAGE, OR CURRENT STATUS.

OPTIONAL THIRD DEGREE SCREENING IS AVAILABLE ONLY TO SIGNED-IN CONTRACTORS AND REQUIRES A SEPARATE OPT-IN. THIRD DEGREE ORDER RESPONSES MAY PASS THROUGH JOBBIDDERS' BACKEND AND MAY BE PROCESSED TRANSIENTLY TO EXTRACT IDENTIFIERS AND PROCESS STATUS. JOBBIDDERS STORES INVITATION AND PROCESS-STATUS/SECURITY METADATA, NOT REPORT FINDINGS; IT DOES NOT DISPLAY FINDINGS OR USE THEM TO RESTRICT BID ACCESS OR CHANGE CONTRACTOR RANKING. "SCREENING COMPLETED" MEANS ONLY THAT THIRD DEGREE REPORTED COMPLETION; IT DOES NOT INDICATE A FAVORABLE RESULT.

YOU ACKNOWLEDGE AND AGREE THAT: (A) YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING THE IDENTITY, CREDENTIALS, LICENSING, INSURANCE, AND SUITABILITY OF ANY CONTRACTOR YOU CHOOSE TO ENGAGE; (B) MEETING WITH OR HIRING ANY STRANGER FROM THE INTERNET CARRIES INHERENT RISK; AND (C) THE PLATFORM IS NOT RESPONSIBLE FOR ANY HARM, LOSS, THEFT, INJURY, PROPERTY DAMAGE, FRAUD, OR OTHER CONSEQUENCE ARISING FROM YOUR DECISION TO ENGAGE A CONTRACTOR FOUND THROUGH THE PLATFORM.

WE STRONGLY RECOMMEND THAT YOU: (1) RESEARCH CONTRACTORS INDEPENDENTLY; (2) MEET CONTRACTORS IN PUBLIC BEFORE ALLOWING THEM INTO YOUR HOME OR PROPERTY; (3) VERIFY LICENSES AND INSURANCE DIRECTLY WITH ISSUING AUTHORITIES; (4) OBTAIN WRITTEN CONTRACTS AND ITEMIZED ESTIMATES BEFORE WORK BEGINS; AND (5) NEVER PAY IN FULL BEFORE WORK IS COMPLETED TO YOUR SATISFACTION.

25. RELEASE OF CLAIMS USER TO USER INTERACTIONS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY FULLY AND FOREVER RELEASE, WAIVE, DISCHARGE, AND HOLD HARMLESS THE PLATFORM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND EXPENSES OF ANY KIND WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED ARISING OUT OF OR IN CONNECTION WITH:

• Any in person meeting, interaction, or transaction between you and any other User of the Platform
• Any services performed or not performed by any Contractor you discover through the Platform
• Any property damage, personal injury, emotional distress, financial loss, theft, fraud, or death resulting from any User interaction
• Any dispute over payment, service quality, or scope of work between you and any other User
• Any reliance on any profile, review, rating, screening-completion status, or other information displayed on the Platform IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."

26. Advertising, Sponsored Content, and Revenue Model

The Platform is supported by advertising and separately offered digital products. Advertisements may appear only in eligible placements under the advertising rules below, the Privacy Policy, and applicable consent requirements. Frequency and placement may change through the current configuration, but not in a way that overrides protected flows, required privacy choices, or disclosed subscriber exemptions. Accepting these Terms is not, by itself, consent to tracking or personalized advertising where separate consent is required.

We may display contextual, personalized, interest based, or location based advertisements in accordance with our Privacy Policy and applicable law.

Advertiser Disclaimer: The Platform is not responsible for the content, accuracy, products, services, claims, or practices of any advertiser or third party advertisement displayed on the Platform. Any transaction or interaction you have with an advertiser is solely between you and that advertiser. We make no warranty or representation regarding any advertised product or service or the availability, quality, safety, legality, or suitability of any advertised products or services. The display of any advertisement does not constitute an endorsement, recommendation, or approval by the Platform.

Paid/Promoted Listings: Some Contractor profiles, listings, or placements may appear more prominently on the Platform as a result of paid promotion or advertising arrangements. Such promoted placements do not constitute an endorsement, recommendation, or quality guarantee by the Platform. The prominence of any listing in search results or on the Platform may be influenced by paid advertising as well as other ranking factors determined by the Platform in its sole discretion, including relevance, quality, availability, user preferences, and Platform policies.

Advertising Disclosure: Paid or sponsored placements must be identified clearly where they appear so users can distinguish advertising from ordinary results. Material connections, including referral compensation for optional Third Degree screening, must be disclosed where relevant to the user's decision, not hidden solely in these Terms. A sponsored placement or screening referral is not an independent recommendation or guarantee.

Users should treat all sponsored placements as advertising and conduct their own independent research.

Advertising Rules: Free access may include feed advertisements, ads associated with eligible job or profile openings, and an advertisement after a successful job post or bid, subject to the current remotely configured rules. A post or bid is saved and confirmed before any associated post-action advertisement. An unavailable or failed advertisement does not undo the saved action or prevent continuation under the approved advertising rules. For free access, a banner advertisement may appear under the conversation list when a Contractor opens the Messages tab. A full-screen advertisement is not shown before that list. Ads do not appear between individual messages or interrupt bid acceptance or rejection, release of accepted-party contact information, verification, sign-in, account deletion, or an active form submission. Active subscribers are exempt from JobBidders-served advertisements under the applicable subscription. Counters, grace allowances, and advertising frequency are controlled by the current configuration rather than fixed promises in these Terms.

Search Rankings. Search results, recommendations, Contractor listings, and other content displayed through the Platform may be influenced by numerous factors, including relevance, proximity, responsiveness, reviews, account standing, advertising or promoted listings, subscription status, and other proprietary ranking criteria determined by JobBidders.

JobBidders does not guarantee any particular placement, ranking, visibility, or prominence within the Platform.

27. DMCA Safe Harbor Copyright Infringement

The Platform respects intellectual property rights and maintains a copyright notice and counter-notice process. Any DMCA safe-harbor protection depends on satisfying the applicable statutory requirements; these Terms do not themselves establish eligibility or guarantee immunity from infringement claims.

If you believe that any content on the Platform infringes your copyright, please send a written notice to our copyright contact at support@jobbidders.app containing: (1) a description of the copyrighted work claimed to be infringed; (2) a description of where the allegedly infringing content is located on the Platform; (3) your contact information; (4) a statement that you have a good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature.

We reserve the right, in our sole discretion, to remove, disable access to, or restrict any content that we believe may infringe intellectual property rights or otherwise violate these Terms or applicable law, with or without prior notice.

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content. Repeat infringers may have their accounts terminated or suspended at our sole discretion.

If you believe that any content on the Platform infringes intellectual property rights other than copyright (including trademarks, patents, publicity rights, or other proprietary rights), you may also notify us using the contact information above, and we may investigate and take appropriate action in our sole discretion.

Counter Notification. If you believe that content you posted was removed or disabled as a result of mistake or misidentification, you may submit a written counter notification to our copyright contact at support@jobbidders.app. Your counter notification must include: (1) identification of the content that was removed or disabled and the location where it appeared before removal; (2) a statement, under penalty of perjury, that you have a good faith belief the content was removed or disabled due to mistake or misidentification; (3) your name, mailing address, and telephone number; (4) a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or, if you reside outside the United States, to the jurisdiction of the appropriate U.S. federal court, and that you will accept service of process from the person who submitted the original copyright infringement notification or that person's authorized agent; and (5) your physical or electronic signature.

Upon receipt of a valid counter notification, JobBidders may restore the removed content within ten (10) to fourteen (14) business days, or within such other period required by applicable law, unless the original complaining party notifies us that it has filed a legal action seeking to prevent the restoration of the content.

28. Fraud and Scam Awareness

The Platform does not guarantee that all Users are who they claim to be. Internet based marketplaces carry inherent risks of fraud, misrepresentation, and scams. You acknowledge that:

• Some users may create false or misleading profiles
• Reviews and ratings may not always be authentic
• Contractors may misrepresent their credentials, experience, or capabilities
• Safety screening and report review address possible policy violations; they do not independently verify the factual accuracy of every User submission
• You are responsible for taking all reasonable precautions when engaging with strangers online or in person
• Any optional screening status provided through the Platform means only that Third Degree reported completion; it does not indicate a favorable result or constitute a guarantee, endorsement, certification, or warranty of any User's identity, qualifications, trustworthiness, or conduct.
• Users remain solely responsible for independently verifying any Contractor's credentials, licenses, insurance, and suitability before engaging their services, regardless of any documents or screening-completion status shown on the Platform.

The Platform assumes no responsibility or liability for any loss, damage, harm, theft, fraud, misrepresentation, identity theft, financial loss, personal injury, property damage, or other misconduct committed by any User or third party..

You agree to exercise independent judgment when communicating with or engaging any User and acknowledge that all interactions and transactions are undertaken at your own risk.

If you suspect fraud, unauthorized activity, or criminal conduct, report it to local law enforcement or the appropriate governmental authority and notify us through the in-app report controls or at support@jobbidders.app. We review submitted reports under our safety process and may cooperate with law enforcement, restrict accounts, and preserve or disclose information as permitted or required by applicable law. We do not guarantee a particular response time or outcome.

29. No Employment, Agency, or Partnership Relationship

NOTHING IN THESE TERMS OR YOUR USE OF THE PLATFORM SHALL CREATE OR BE DEEMED TO CREATE ANY EMPLOYMENT, JOINT VENTURE, PARTNERSHIP, FRANCHISE, AGENCY, FIDUCIARY, OR OTHER SPECIAL RELATIONSHIP BETWEEN YOU AND THE PLATFORM.

The Platform does not direct, control, supervise, set schedules for, train, evaluate, or determine the work product of any Contractor. No Contractor is an employee, agent, representative, joint venturer, partner, or franchisee of the Platform.

The Platform has no right to control the manner, means, tools, timing, or location, methods, pricing, acceptance or rejection of work, staffing decisions, or performance of any services by any Contractor's work. Contractors bear sole responsibility for their own actions, omissions, conduct, workmanship, taxes, workers' compensation, insurance, licenses, permits, employee or subcontractor compensation, and compliance with all applicable laws.

Customers are solely responsible for selecting, engaging, supervising, and evaluating Contractors, and Contractors are solely responsible for determining whether to accept, reject, or perform any requested services.

Contractors and independent document issuers are responsible for determining the applicable tax treatment, entering correct tax rates and charges, and collecting, reporting, and remitting any taxes arising from their work. JobBidders does not determine or verify the legally applicable tax rate, collect or remit contractor taxes, or provide tax or accounting advice. Its estimate and invoice tools may calculate arithmetic totals using amounts and rates entered by the issuer; that calculation is not a determination that tax is due or that the entered rate is legally correct. JobBidders does not supply a universal job tax rate.

The Platform does not guarantee that any Customer will receive bids, that any Contractor will obtain jobs or business opportunities, that any User will receive responses to job postings or bids, that any project will

be awarded or completed, or that any User will generate income, revenue, profits, or business through the Platform. The Platform makes no representation or warranty regarding the number, quality, timing, or availability of job postings, bids, Customers, Contractors, projects, or business opportunities. All decisions regarding whether to post a job, submit a bid, accept a bid, negotiate terms, enter into a contract, or complete a project are made solely by the Users at their own discretion and risk. JobBidders LLC is not a party to any agreement between Customers and Contractors and has no responsibility for the performance, completion, quality, legality, safety, or outcome of any services or transactions arranged through the Platform.

The Platform assumes no vicarious liability for the acts or omissions of any Contractor or Customer. Any harm caused by a Contractor's actions or negligence is the sole legal responsibility of the applicable User that Contractor, not of the Platform.

JobBidders is an introduction and recordkeeping platform, and Contractors are intended to operate their own independent businesses. The legal classification of a relationship depends on applicable law and the actual facts, not solely on labels or these Terms. These Terms do not override non-waivable employment, consumer, home-improvement, licensing, tax, or other statutory rights and duties.

30. Section 230 of the Communications Decency Act

As an interactive computer service provider, the Platform may be entitled to certain protections under Section 230 of the Communications Decency Act, 47 U.S.C. § 230 and other applicable laws, which provide that providers of interactive computer services a re not treated as the publisher or speaker of any information provided by another information content provider.

JobBidders may assert applicable protections concerning content supplied by other users, but only to the extent available under law. Section 230 is not automatic immunity for all Platform conduct or for information JobBidders itself creates or develops, including AI-generated content. No provision eliminates a non-waivable duty or determines the outcome of a particular claim.

Safety moderation does not constitute endorsement or independent factual verification of User Content. The Platform does not guarantee its accuracy, completeness, legality, quality, safety, reliability, or suitability and disclaims liability arising from or relating to User Content to the extent permitted by applicable law.

We may review, investigate, refuse, remove, or restrict content or accounts for violations, safety, security, or legal reasons under the moderation process described in these Terms. This reservation does not waive legally required notices, privacy duties, screening review, or appeal procedures. Moderation is not independent factual verification, and it does not guarantee that every violation will be detected.

Nothing in this Section shall limit any rights, immunities, defenses, or protections available to the Platform under applicable law in any jurisdiction.

We may communicate with you electronically using the contact information associated with your account, and you consent to receive such communications electronically.

32. Statute of Limitations

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

This shortened limitations period applies regardless of any statute or law to the contrary except to the extent a longer limitations period is required by applicable law or cannot lawfully be waived or shortened.

33. Venue and Jurisdiction

To the extent any dispute is not subject to arbitration under these Terms, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. You hereby irrevocably consent to personal jurisdiction and venue in those courts and waive any objection on lack of personal jurisdiction improper venue, or forum non conveniens.

You also waive any claim that any such proceeding has been brought in an inconvenient forum.

Nothing in this Section shall prevent JobBidders from seeking temporary, preliminary, or permanent injunctive or equitable relief, or enforcing its intellectual property rights, confidential information, or other proprietary rights, in any court of competent worldwide jurisdiction where such relief is necessary or appropriate.

This venue selection is made for our mutual convenience and to ensure consistent application of these Terms. You acknowledge that this may require you to litigate in a jurisdiction other than where you reside and that you voluntarily agree to this venue selection as a material part of these Terms.

If you reside in a jurisdiction whose mandatory laws prohibit the application of all or part of this Venue and Jurisdiction provision or grant you non waivable consumer or other statutory rights, such mandatory laws and rights shall apply only to the minimum extent required by applicable law and shall not otherwise affect the validity, enforceability, or application of the remaining provisions of these Terms.

If the exclusive venue provisions of this Section are held to be unenforceable under applicable law with respect to a particular claim or user, such claim shall be brought in a court of competent jurisdiction as required by applicable law, and the remainder of this Section shall remain in full force and effect.

34. Platform Safety Guidelines and User Responsibility

YOUR FAILURE TO FOLLOW THESE GUIDELINES SHIFTS FULL RESPONSIBILITY FOR ANY RESULTING HARM ENTIRELY TO YOU. THESE GUIDELINES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE A GUARANTEE OF YOUR SAFETY OR THE SAFETY OF ANY TRANSACTION OR INTERACTION.

The Platform shall have no liability whatsoever for any harm arising from your failure to observe reasonable safety precautions, including those listed below:

• Meet in public first. Before allowing any Contractor into your home, vehicle, or private property, meet them in a public place to verify identity and establish comfort.
• Verify credentials independently. Always verify licenses, certifications, and insurance directly with the issuing authority before any work begins. Do not rely solely on Platform profile information, screening-completion status, background checks, or reviews.
• Never pay in full upfront. Use a staged payment structure tied to milestones. Retain final payment until work is completed to your satisfaction, unless otherwise agreed after exercising your independent judgment.
• Get everything in writing. Always have a written contract or detailed estimate before work begins, including scope, cost, and timeline.
• Tell someone. Inform a trusted person when and where you are meeting a stranger from the Platform.
• Trust your instincts. If something feels wrong, do not proceed. You are never obligated to engage with any User.
• Use secure payment methods. Never pay with gift cards, wire transfers, cryptocurrency, or cash only arrangements, which are common indicators of fraud.
• Report suspicious behavior. Use the Platform's abuse reporting tools or contact us directly to flag any suspicious, threatening, or fraudulent activity immediately.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE SAFETY GUIDELINES AND AGREE TO FOLLOW THEM. THE PLATFORM'S PUBLICATION OF THESE GUIDELINES CONSTITUTES A GENERAL WARNING OF SOME OF THE RISKS ADEQUATE WARNING OF THE RISKS ASSOCIATED WITH ENGAGING STRANGERS THROUGH INTERNET BASED MARKETPLACES.

JobBidders is not intended for emergency services. If you are experiencing an emergency or an immediate threat to health, safety, or property, contact the appropriate emergency services immediately.

35. Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act ("DMCA"), other applicable intellectual property laws, and our commitment to protecting intellectual property rights, it is our policy to terminate, suspend, or otherwise restrict, in appropriate circ umstances, the accounts of Users who are repeat infringers of copyright or other intellectual property rights.

We reserve the right to terminate any User's account at our sole discretion if we determine, in our judgment, that such User is a repeat infringer or has repeatedly violated these Terms or the intellectual property rights of others. This policy applies to all User uploaded content including photos, videos, profile materials, and messages, job postings, bids, reviews, comments, and other User Content.

36. Acknowledgment of Risks Explicit Consent

BY CREATING AN ACCOUNT AND USING THE PLATFORM, YOU EXPLICITLY ACKNOWLEDGE AND CONSENT TO THE FOLLOWING:

• You understand the Platform does not routinely verify, screen, or vet Contractors and that using the Platform to find service providers carries inherent personal and financial risk.
• You have read and understood the Safety Guidelines in Section 34 and agree to follow them.
• You understand that reviews, ratings, and screening-completion status on the Platform are not guarantees of quality, safety, or legitimacy.
• You understand that you are solely responsible for your own safety when meeting strangers found through the Platform.
• You have had the opportunity to consult legal counsel before agreeing to these Terms and have voluntarily agreed to them.
• You are entering into this agreement knowingly, voluntarily, and with full understanding of its terms.
• You acknowledge that your decision to engage with any User is made independently and entirely at your own discretion and risk.

37. Assumption of Risk

BY USING THE PLATFORM AND ENGAGING WITH ANY CONTRACTOR OR CUSTOMER FOUND THROUGH THE PLATFORM, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH SUCH ENGAGEMENT, INCLUDING BUT NOT LIMITED TO: RISKS OF PHYSICAL HARM, PROPERTY DAMAGE, FINANCIAL LOSS, FRAUD, THEFT, OR OTHER ADVERSE OUTCOMES. YOU ACKNOWLEDGE THAT YOU HAVE INDEPENDENTLY ASSESSED THESE RISKS AND CHOSEN TO PROCEED VOLUNTARILY. THE PLATFORM EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR OUTCOMES RESULTING FROM YOUR INDEPENDENT DECISION TO ENGAGE WITH OTHER USERS.

38. Account Ownership

If an account is registered on behalf of a business or organization, the person creating or using it must have authority to act for that entity. Account management is limited to the access and ownership controls actually supported by the Platform; these Terms do not promise a separate employee-management or multi-administrator product. For ownership disputes, JobBidders may request reasonably necessary business-authorization documentation or restrict access pending review. Do not upload government identity documents to the app for this purpose.

39. Employee and Authorized Users

An authorized business representative may use the Platform only through supported account-access methods and within the authority granted by the account owner. Do not share passwords or bypass security controls. The owner is responsible for the representative's lawful use and must notify support if authority ends or access is disputed. Account access does not mean that employees, helpers, or subcontractors have been screened under the profile owner's label.

40. Third Party Login

If you choose a supported Google or Apple sign-in method, you authorize us to obtain the account information that provider shares with your permission. Your relationship with the authentication provider is governed by its terms and privacy notice.

41. Suspension for Security Risks

We may suspend, restrict, or temporarily disable your account if we reasonably believe that your account has been compromised, is being used fraudulently, presents a security risk, violates these Terms, or could adversely affect the Platform, other Users, or third parties. Before restoring access, we may require account-ownership confirmation through supported authentication or recovery methods. This account-security process does not authorize a background check or create a government-ID upload route.

42. Platform Usage Limits

We may establish reasonable operational limits regarding storage capacity, bandwidth, messaging, file uploads, API usage, advertisements, communications, or other Platform resources. We reserve the right to modify such limits at any time to maintain Platform performance, reliability, and security.

43. User Data Backup

Users are solely responsible for maintaining independent backups of any information, documents, communications, or other content submitted to or stored on the Platform. While we implement reasonable safeguards, we do not guarantee against accidental loss, corruption, deletion, or unavailability of User Content.

44. Artificial Intelligence Features and Disclaimers

The Platform offers artificial intelligence ("AI") assistance for job descriptions, photo analysis, Price Insight, and bid writing ("AI Features"). These features generate suggestions for users to review; they do not inspect a property, certify safety, verify a professional credential, issue a contractor quote, or replace qualified professional judgment.

• AI Features rely on automated systems and may produce content that is inaccurate, incomplete, outdated, or unsuitable for your specific circumstances.
• AI Price Insight estimates labor cost only. Parts and materials are additional and may vary. It is planning guidance, not a Contractor quote, invoice, or payment obligation; actual bids may vary. The calculation must exclude parts and materials, not merely carry a labor-only label. Any range depends on the available description, visible evidence, approximate location, and stated assumptions; hidden conditions, access, urgency, local requirements, and a Contractor's own assessment can change the cost. It is not a guaranteed minimum, maximum, fair-market appraisal, or commitment by any Contractor. If no reliable range is available, that means unavailable, not free work or a $0 quote.
• Photo analysis uses only supplied photographs. It cannot see concealed damage, test equipment, measure reliably, confirm structural integrity, determine parts compatibility, or certify code compliance. Optional job AI does not inspect uploaded videos or analyze their soundtracks for job insights. Separately, job videos undergo safety screening that may sample frames and transcribe audio solely for content moderation, as described in the Privacy Policy. A suggestion is not proof that work is safe to perform or an instruction to attempt hazardous electrical, gas, structural, or other regulated work. For emergencies, contact the appropriate emergency service; for diagnosis and repair, use a suitably qualified professional.
• AI-assisted bid writing is a separate drafting tool. Unlike labor-only Price Insight, a Contractor's actual bid may include materials and other charges the Contractor deliberately includes. The Contractor must

check the amount and inclusions, correct errors, and make accurate licensing and insurance statements before sending it. AI does not set or approve the Contractor's final price.

• Review, edit, and verify AI-generated descriptions, titles, scope, prices, and bid text before publishing, sending, accepting, or relying on them. AI suggestions do not authorize extra work, decide whether permits are required, or supply a legally complete construction contract. The parties must agree on the actual scope, materials, price, deposit, visit/estimate fee and any credit, timing, payment terms, and legally required notices.
• AI-generated content is provided for informational and convenience purposes only and does not constitute legal, financial, tax, accounting, engineering, architectural, construction, safety, insurance, or other professional advice. You should exercise your own independent judgment and consult qualified professionals where appropriate.
• AI-generated content may not be unique and may resemble or be similar to content generated for other users or obtained from publicly available sources. JobBidders does not guarantee the originality, exclusivity, or non-infringement of any AI-generated output.
• You remain solely responsible for reviewing, verifying, modifying, and determining the suitability of all AI-generated content before relying upon it, publishing it, submitting it to other Users, or using it in connection with any project, estimate, bid, or transaction.
• To the fullest extent permitted by applicable law, JobBidders makes no representations or warranties regarding the accuracy, completeness, reliability, originality, legality, merchantability, fitness for a particular purpose, or suitability of any AI-generated content or recommendations and expressly disclaims all liability arising from or relating to your use of or reliance upon such content.
• The Platform does not guarantee the accuracy, completeness, reliability, or suitability of any AI generated job description, photo analysis, price insight, or bid content.
• Optional AI assistance sends the content needed for the selected feature to the disclosed provider as described in the Privacy Policy. It may be declined; required Platform safety moderation is separate. General acceptance of these Terms is not authorization for background screening, undisclosed model training, or unrelated reuse of private content.
• AI availability and usage allowances follow the current disclosed feature and digital-purchase terms. Any price or paid regeneration must be disclosed before the user confirms it. Saved AI results and usage records belong to the relevant job or draft and must not be presented as results for another job. Changes to availability do not override applicable consumer or store rights.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR ANY DAMAGES, LOSSES, OR DECISIONS ARISING FROM YOUR USE OF OR RELIANCE ON ANY AI GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO PRICING DECISIONS, JOB DESCRIPTIONS, PHOTO ANALYSIS, OR BID CONTENT PRODUCED THROUGH AI FEATURES.

Users should obtain estimates directly from Contractors before making hiring decisions.

AI Abuse. JobBidders reserves the right, in its sole discretion, to suspend, restrict, limit, or terminate a User's access to any AI-powered feature if it reasonably believes such feature is being used for spam, fraud, automated or excessive usage, prompt manipulation, unlawful purposes, or any activity that may impair the security, integrity, or operation of the Platform or its AI systems.

45. Beta Features

From time to time, JobBidders may make available beta, preview, experimental, or early-access features ("Beta Features"). Beta Features are provided on an "AS IS" and "AS AVAILABLE" basis, may contain errors, defects, bugs, or incomplete functionality, and may be modified, suspended, or discontinued at any time without prior notice. JobBidders makes no representations or warranties regarding the availability, performance, accuracy, reliability, or suitability of Beta Features, and Users assume all risks associated with their use.

46. Cookie Policy

The Platform uses cookies, web beacons, pixels, local storage, software development kits (SDKs), and similar technologies ("Cookies") to operate, secure, and improve the Platform, authenticate Users, remember preferences, analyze usage, prevent fraud, measure performance, personalize content, deliver advertisements, and provide certain Platform features.

By accessing or using the Platform, you acknowledge the use of Cookies described in this Section and in our Privacy Policy, subject to applicable consent requirements.

Where required by applicable law, we will obtain your consent before placing non essential Cookies and provide you with the ability to manage your Cookie preferences.

Certain Cookies are necessary for the operation and security of the Platform and cannot be disabled. Disabling or blocking certain Cookies through your browser or device settings may affect the availability or functionality of some portions of the Platform.

We may permit disclosed service providers, analytics providers, advertising partners, digital-purchase and entitlement providers, fraud-prevention providers, and other vendors to use Cookies and similar technologies for the Platform functions they support, subject to our Privacy Policy and applicable law. This does not describe a JobBidders contractor-payment processor or payment channel. Third Degree's separately accessed screening process has its own applicable notices and policies.

This Section is JobBidders' Cookie Policy. Additional information about related data practices and available choices appears in the Privacy Policy. We do not incorporate a separate, unpublished cookie document.

47. Notice of Illegal or Infringing Content

If you believe in good faith that any content, listing, communication, advertisement, profile, review, job posting, bid, message, or other material available through the Platform is illegal, violates applicable law, infringes your or a third party's intellectual property or other legal rights, or otherwise violates these Terms, you may notify us by email at support@jobbidders.app.

Your notice should include, to the extent applicable:

• a detailed description of the allegedly illegal, infringing, fraudulent, or otherwise objectionable content or activity and the reasons you believe it violates applicable law or these Terms;
• a detailed description of the location of the material on the Platform, including the applicable URL, listing, profile, message, or other identifying information sufficient for us to locate the content;
• your full name, mailing address, telephone number, and email address;
• any supporting documentation or information reasonably necessary to evaluate your notice; and
• a statement that the information provided in your notice is accurate and submitted in good faith.

Upon receipt of a notice, JobBidders may investigate the reported content or activity and may remove, disable access to, restrict, preserve, or take any other action with respect to the reported content or the associated User account, in our sole discretion. Submission of a notice does not guarantee that any particular action will be taken.

49. Community Standards

At JobBidders, we are committed to maintaining a safe, respectful, and trusted marketplace where Customers and Contractors can connect with confidence. We value integrity, professionalism, inclusivity, and responsible use of our Platform, including AI powered features. These Community Standards establish the expectations for all Users and are intended to promote a positive experience for everyone. By using JobBidders, you agree to comply with these Standards, our Terms of Service, and our other Platform policies.

50. International Users and Local Law Compliance

The Platform is operated from the United States and is directed primarily to users located in the United States. We make no representation that the Platform or its content is appropriate, lawful, or available for use in any other location. Users who access the Platform from other jurisdictions do so on their own initiative and at their own risk and are solely responsible for compliance with the laws of their own jurisdiction, if and to the extent such laws apply. We may limit, restrict, or condition the availability of the Platform, in whole or in part, to any person or geographic area at any time.

The Platform is not available to, and may not be used by or for the benefit of, any person or entity that is subject to economic sanctions or trade restrictions imposed by the United States, the European Union, the United Kingdom, the United Nations, or an y other applicable authority, or that is located in a country or territory subject to a comprehensive embargo. By using the Platform, you represent and warrant that you are not such a person or entity, that you are not acting on behalf of any such person or entity, and that you will not use the Platform to evade or circumvent any sanctions, export-control, or trade laws.

51. Consumers in the European Union, United Kingdom, and Other Protected Jurisdictions

If you use the Platform as a consumer and you are habitually resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose laws grant you non-waivable consumer protections, then notwithstanding anything to the contrary in these Terms: (a) you benefit from the mandatory consumer-protection provisions of the law of the country in which you reside, and nothing in these Terms deprives you of those protections; (b) you may bring proceedings arising out of or relating to these Terms in the courts of your country of residence, and the Binding Arbitration and Class

Action Waiver, Governing Law, Statute of Limitations, and Venue and Jurisdiction sections of these Terms apply to you only to the extent permitted by the mandatory laws of that country; (c) nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited; (d) if you are entitled under applicable law to a statutory cancellation or withdrawal right for purchases (such as the fourteen (14) day withdrawal right available to consumers in the European Union and the United Kingdom), nothing in these Terms limits that right; and (e) where any provision of these Terms is reasonably capable of more than one interpretation, the interpretation more favorable to the consumer shall apply to the extent required by applicable law.

52. Content Moderation Complaints and Appeals (European Economic Area)

If your place of establishment or residence is in the European Economic Area, the following applies in addition to the Notice of Illegal or Infringing Content section of these Terms: (a) where we remove, disable, restrict, demote, or otherwise action your content or suspend or terminate your account, we will, where required by applicable law (including the EU Digital Services Act), provide you with a statement of the reasons for that decision; (b) you may file a complaint against such a decision, or against a decision we made following a notice you submitted, through our internal complaint-handling process by contacting us at the email address set out in the Contact section within six (6) months of being notified of the decision, and we will handle complaints in a timely, diligent, non-discriminatory, and objective manner and will reverse any decision we conclude was taken in error; (c) you may also refer such a dispute to an out-of-court dispute settlement body certified under Article 21 of the EU Digital Services Act, whose decisions are not binding on either party; and (d) nothing in this Section limits your right to bring proceedings before a competent court.

53. Local Grievance and Regulatory Mechanisms

Where applicable law requires JobBidders to designate a local contact point, grievance officer, complaint mechanism, or comply with specific complaint-handling procedures or response timelines, JobBidders will comply with such requirements to the extent they apply. Complaints and inquiries may be submitted using the contact information provided in the Contact Us section of these Terms and will be acknowledged and addressed within the timeframes required by applicable law.
